Zhong Lun Assists Metso with Reaching Agreement on Acquisition of SELM
Metso Corporation (“Metso”) recently announced that it reached an agreement with Chinese company SELM (Beijing) Technology Co., Ltd. (“SELM”) to acquire the latter’s screening business, operations, and key assets. This acquisition is subject to certain conditions precedent and is expected to be completed in the second quarter of 2025.
Metso is a frontrunner in sustainable technologies, end-to-end solutions and services for the aggregates, minerals processing, and metals refining industries globally. Metso is headquartered in Finland, and listed on the Nasdaq and Helsinki. With more than 17,000 employees across nearly 50 countries, Metso reported sales of approximately EUR 5.4 billion in 2023. Metso is investing in China to expand its screening solutions. By integrating SELM’s business with Metso’s expertise in screening equipment, screens, maintenance, and services through this acquisition, Metso will be able to enhance its service capabilities and better support customers in China’s mining and aggregates industries.
Zhong Lun Law Firm, as legal advisor to Metso in the acquisition, provided full-package legal services which encompassed legal due diligence, transaction structure design, transaction documents drafting, reviewing, and revision, as well as assistance with negotiation and execution of transaction documents.
