Chloe Leung

Chloe Leung joined Zhong Lun Law Firm in 2012 and obtained the qualification to practice as a solicitor in Hong Kong in 2014. She focuses on the areas of private clients and corporate law and provides legal advice to high-net-worth clients on trust, tax planning, inheritance planning, asset protection, estate management, charity, restructuring, and mergers and acquisitions. During her practice, Chloe was seconded to a Swiss bank and provided consulting services in the bank's wealth and tax planning department, accumulating diverse wealth planning experience.

Representative Matters

  • Advised a family office of a private real estate developer with global assets of over USD 5 billion on trusts, tax, estate planning, mergers and acquisitions, loan financing, and disclosure, as well as compliance issues

  • Acted for an independent trustee in defending two trusts and their global assets of over USD 200 million from attack by the settlor’s creditors pursuant to Mareva Injunction Orders and Disclosure Orders granted by Hong Kong and Singapore courts

  • Advised a group of 18 PRC founders and executives of a company, which later was successfully listed on a major US exchange, on the settlement of pre-IPO trusts and addressed issues relating to PRC tax laws, pre-listing structuring, employee stock option scheme, disclosure, and compliance matters 

  • Advised the controlling shareholders holding over 60% of the equity in a Hong Kong-listed company on their shareholding restructuring and settlement of offshore trusts, addressing Hong Kong securities regulatory issues, Hong Kong stamp duty issues, and PRC tax issues arising therefrom

  • Advised on the acquisition of a hotel worth USD 250 million in Canada and the settlement of a trust structure to address confidentiality, succession planning, and tax concerns relating thereto

  • Advised a Hong Kong private real estate developer on the restructuring of various trusts involving assets worth over USD 1 billion, including real estate holdings, and successfully exempted the client from Hong Kong stamp duty 

  • Advised on the formation of Hong Kong charities and related governance matters and obtained tax exemption status for charities under section 88 of the Inland Revenue Ordinance
