Private equity and investment funds
In the field of private equity and investment funds, Mr. Huijun Ma provides clients with legal services such as fund structure design, fund governance, legal due diligence of proposed investment projects, fund investment plan design, investment project management, drafting and negotiation of transaction legal documents, negotiation and drafting of legal documents of fund exit plans.

1. Provided legal services to Beijing Cultural Center Construction and Development Fund Management Co., Ltd. and Beijing Cultural Center Construction and Development Fund Asset Management Co., Ltd. for the registration procedures of the Asset Management Association of China. This project is the first batch of private fund manager registration cases submitted to the Asset Management Association with legal opinions.
2. Provided legal services for the initiation, establishment and investment of Beijing Cultural Center Fund, which is designed to have a total scale of CNY 100 billion, with an initial phase of CNY 20 billion, the project involves matters such as parent and child fund structure and cultural industry investment.
3. Provided legal services for Brightvision Capital Fund Management (Shenzhen) Co., Ltd. to set up a fund to invest in the Yuyao China Cloud City project, which covers an area of 1.8 square kilometers in the first phase with a total investment of over CNY 20 billion, and is a comprehensive urban development and operation project with the main features of gathering and incubating high-tech industries such as big data technology, Internet+ and intelligent manufacturing.
4. Provided legal services to BOC Investment Group cooperating with Vanke in setting up a real estate fund to invest in Beijing Shilipu SLP project, which has a floor area of 47,000 square meters and involves matters such as construction of cooperation vehicle, equity investment cooperation and property renewal and renovation.
5. Provided legal services to Everbright Asset for the establishment of a fund to invest in the Everbright Ensign Hongqiao Center project, which has a floor area of 170,000 square meters and involves matters such as equity investment fund structure, equity acquisition and property renewal and renovation.
6. Provided legal services for Harvest Capital's investment in Shanghai World Trade Tower project. This project is the first PE private equity investment product in the public fund industry for commercial real estate, involves special asset management plan investment,property renovation and upgrading.
7. Provided legal services for the post-investment management of private investment fund of China Minsheng Bank Co., Ltd. Beijing Branch. The project involves fund duration management, investor communication and other matters.
8. Provided legal services for the overall acquisition of Beijing Fifth Plaza project by a fund managed by China Resources Capital, which is located in the business core area of Beijing's East Second Ring Road, with a total building scale of about 130,000 square meters, and the transaction involved foreign equity acquisition and transfer of state-owned assets.

9. Provided legal services in due diligence, drafting and negotiation of transaction documents for the joint venture, joint development and operation of various real estate developments, land level development, commercial and office property operations in Beijing, Chongqing, Guiyang and Suzhou for funds managed by China Resources Capital and domestic developers.
10. Provided legal services to more than ten companies, including CITIC Zhengye Asset Management Co., Ltd., CITIC Land Fund Management (Beijing) Co., Ltd. and Brightvision Capital Fund Management (Shenzhen) Co., Ltd. for the registration procedures of the Asset Management Association administrator.

Mr. Huijun Ma specializes in legal services in the field of investment and M&A. He has provided various types of legal services for investment and M&A such as equity acquisition, capital increase, project asset acquisition, merger and reorganization for financial institutions, Internet companies, manufacturing companies, private equity funds, real estate companies and other clients. Mr. Huijun Ma is particularly experienced in real estate investment and M&A, and the types of real estate involved include residential, commercial, office, logistics, industrial, tourism, hotel, theater, cultural and other industries.

1. Provided legal due diligence services for the strategic cooperation project between Vanke and Xinxing Group, which is the first equity diversification project of the State-owned Key Enterprises GENERTEC, involves extensive due diligence of multiple types of property forms, debt review and land asset verification matters.
2. Provided legal services for Vanke's acquisition of Blackstone's commercial property project in China, the total consideration of which was approximately CNY 12.87 billion and was selected by China Law & Practice (“CLP") as the "Best Real Estate and Construction Transaction Deal of 2015", which involves extensive operational property due diligence, financing structure analysis, transaction structure design, etc.
3. Provided legal due diligence services for Sino-Ocean Group's acquisition of 70% equity interest in Red Star Real Estate Group. This project is a cross-border transaction project, the controlling shareholders of both parties are listed on the Hong Kong Stock Exchange, the project volume is large, and the legal due diligence involves a number of subordinate real estate subsidiaries.
4. Provided full legal services for BOC Investment Group's acquisition of Tongzhou Viva Plaza project, which is in the sub-center of Tongzhou District, Beijing, with a floor area of about 60,000 square meters and is an important property asset transaction of the year.
5. Represented ByteDance in the acquisition of the Shanghai Yangpu office project held by TISHMAN SPEYER and Shanghai City Investment. The project has a total area of approximately 195,000 square meters and involves foreign investment in real estate, transfer of state-owned assets, and construction project management.
6. Represented an enterprise in the acquisition of Beijing Zhongkun Plaza project. The project has a property area of approximately 400,000 square meters and involves distressed real estate transactions, financing, acquisition of non-performing debts, ownership-type stores and property renovation.
7. Provided legal due diligence services for Sino-Ocean Pension's acquisition of HNA's pension asset package project, which involved property ownership verification, pension service industry operation and major asset transactions of listed companies.
8. Provided legal services to CapitaMalls Asia, CapitaLand and Temasek in acquiring a landmark site in Chongqing, which covers an area of 91,783 square meters and has a land value of over CNY 6.5 billion, which involves foreign investment in real estate and transfer of land use rights.

9. Provided legal services for Shanghai Construction Engineering's acquisition of 51% equity interest in Tianjin Residential Construction Development Group Limited. This project is Shanghai Construction Engineering's first SOE mixed-ownership reform project, involving extensive legal due diligence, design of mixed reform plan, equity transfer transaction, prior notification of concentrations of undertakings and other matters.
10. Provided full legal services for Longchuan Holdings' acquisition of part of the equity interest in Jiangdu Construction (highest grade contractor qualification). The project involves matters such as state-owned enterprises investments and acquisition of engineering and construction enterprises.

1. Provided legal services for Dalian Wanda Group's Wanda Plaza investment and lease negotiations in various locations, including restaurant, department store, electrical appliance, cinema and other business merchant lease.
2. Provided legal services for Oracle's office properties leasing across China, involving commercial office, industrial park leasing and co-working in many cities such as Beijing, Shanghai, Shenzhen, Guangzhou, Dalian, Zhengzhou.

Financial Products and Trust
Mr. Huijun Ma has extensive practical experience in the field of issuance of financial products such as asset securitization products, domestic and overseas bonds, non-financial corporate debt financing instruments, and trust plan establishment and outward investment. He has provided legal services for the whole process of issuance, post-investment management and exit of many REITs, CMBS, property fee ABS, purchase balance ABS, CMBN, consolidated ABN, MTN, PPN, corporate bonds and overseas bond products, and assisted famous trust institutions such as Huaneng Trust, CITIC Trust, Zhongrong Trust and China Resources Trust in setting up trust products for outward investment in various projects.

Asset securitization
1. Provided legal services for the issuance of "Shenzhen Venture Capital Anju Group Talent Rental Housing Asset Support Special Plan"; this project is the first public talent rental housing REITs project in China, which is regarded as an important innovative practice to promote the securitization of housing rental assets, with a shelf size of CNY 20 billion.
2. Provided legal services for the issuance of "BOC Merchants-Beijing Kaiheng Building Asset-Backed Special Program", which is the first bank-based investment property asset securitization project in China and the most REITS asset securitization product of its kind, with an issue size of CNY 3.005 billion.
3. Provided legal services for the issuance of "CICC-Hopson-Beijing Chaoyang Hopson One Asset-Backed Special Program", which was the largest single-entity shopping center CMBS project at the time of issuance, with an issue size of CNY 8 billion.
4. Provided legal services for the issuance of "CICC-Jinhui-Beijing Jinhui Plaza Asset Backed Special Program", which was the largest single-entity office CMBS project in Beijing at the time of issuance, with an issue size of CNY 3.8 billion.
5. Provided legal services for the issuance of "Great Wall Securities-Kangjing Property Asset Backed Special Plan No. 1"; this project is the largest property fee ABS project issued in 2016, with an issue size of CNY 2.341 billion.
6. Provided legal services for CRH's issuance of a number of consolidated ABN products in the interbank bond market in 2020, with a shelf size of CNY 16 billion.
