• Provided legal services to Beijing Cultural Center Construction and Development Fund Management Co., Ltd., and Beijing Cultural Center Construction and Development Fund Asset Management Co., Ltd. for the registration procedures of the Asset Management Association of China, with this project being among the first group of private fund manager registration cases submitted to the Asset Management Association with legal opinions

• Provided legal services for the initiation, establishment, and investment of Beijing Cultural Center Fund, which is designed to have a total scale of CNY 100 billion, with an initial phase of CNY 20 billion, covering matters such as parent and child fund structure and cultural industry investment

• Provided legal services to Brightvision Capital Fund Management (Shenzhen) Co., Ltd. in setting up a fund to invest in Yuyao China Cloud City, which is a comprehensive urban development and operation project for hosting and incubating high-tech industry  players in sectors such as big data technology, Internet+, and intelligent manufacturing, with the project garnering a total first-phase investment of over CNY 20 billion

• Provided legal services to BOC Investment Group in its cooperation with Vanke in setting up a real estate fund to invest in the 47,000-square-meter Beijing Shilipu SLP, covering matters such as development of cooperation vehicle, equity investment cooperation, and property renewal and renovation

• Provided legal services for the overall acquisition of Beijing Fifth Plaza by a fund managed by China Resources Capital, with the investment target located in the business core area along Beijing's East Second Ring Road commanding a total area of about 130,000 square meters, and the transaction involving foreign equity acquisition and transfer of state-owned assets

• Provided legal services encompassing due diligence and drafting and negotiation of transaction documents to funds managed by China Resources Capital for their joint venture, joint development, and operation, together with Chinese developers, of development of various real estate projects, primary development of land parcels, as well as commercial and office property operation in Beijing, Chongqing, Guiyang, and Suzhou

Mr. Huijun Ma is particularly experienced in real estate investment and M&A, and his services extend to residential, commercial, office, logistics, industrial, tourism, hotel, theater, and cultural real properties, as well as properties involved in other industries.

• Provided legal due diligence services for the strategic cooperation between Vanke and Xinxing Group, which is the first equity diversification project of the central  enterprise GENERTEC, involving extensive due diligence of multiple types of properties, debt review, and land asset verification

• Provided legal services for Vanke's approximately CNY 12.87 billion acquisition of Blackstone's commercial property in China, which was selected by China Law & Practice ("CLP") as the “Best Real Estate and Construction Transaction Deal of 2015" and involved extensive operational property due diligence, financing structure analysis, transaction structure design, etc.

• Provided legal due diligence services for Sino-Ocean Group's acquisition of 70% equity interest in Red Star Real Estate Group, a big-ticket cross-border transaction where the controlling shareholders of both parties were listed on the Hong Kong Stock Exchange, and the legal due diligence involved a great number of real estate subsidiaries

• Provided full-range legal services for BOC Investment Group's acquisition of Tongzhou Viva Plaza, which is in Tongzhou District, the so-called sub-center of Beijing, with a floor area of about 60,000 square meters, representing one of the most important property asset transactions of the year

• Represented ByteDance in its acquisition of the approximately 195,000-square-meter Shanghai Yangpu office held by Tishman Speyer and Shanghai City Investment, services covering foreign investment in real estate, transfer of state-owned assets, and construction project management

Mr. Huijun Ma has extensive practical experience in the field of issuance of financial products such as asset securitization products, domestic and overseas bonds, non-financial corporate debt financing instruments, as well as trust plan establishment and outbound investment. He has provided legal services for the entire process from issuance to post-investment management and exit of many REITs, CMBS, property management fee ABS, property mortgage balance ABS, CMBN, consolidated ABN, MTN, PPN, corporate bonds, and overseas bond products, and assisted famous trust institutions such as Huaneng Trust, CITIC Trust, Zhongrong Trust, and China Resources Trust in setting up trust products for outbound investment in various projects.

Asset Securitization

• Provided legal services for the issuance of "Shenzhen Venture Capital Anju Group Talent Rental Housing Asset Support Special Plan", China's first REITs project based on affordable rental housing for young talents, which is regarded as an important innovative practice to promote the securitization of housing rental assets, with a shelf size of CNY 20 billion
