Representative Matters

Mr. Zhou has provided legal services to state-owned enterprises, private enterprises, and financing institutions, including Dongfang Electric Corporation, CR Power, the Sichuan company of Aviation Industry Corporation of China, Ltd., SPIC Sichuan Electric Power Co., Ltd., China Gezhouba Group Co., Ltd., Sichuan Development Holding Co., Ltd., Sichuan Road & Bridge Group Co., Ltd., Chengdu Culture & Tourism Development Group Ltd., Chengdu Jinxin Medical Investment Management Group Co., Ltd., Leading Group Ltd., the Chengdu branch of SPD Bank, the Chengdu branch of China Everbright Bank, Great Wall West China Band Co., Ltd., Mianyang City Commercial Bank, and Jintai Insurance Co., Ltd.


Mr. Zhou has profound theoretical knowledge and practical experience in corporate matters, real estate and construction. He has counselled on a large number of real estate and power station M&A deals and major asset restructuring, such as liquidation of Shenzhen Shenda Phone Co., Ltd., promotion of Sichuan Industrial Revitalization and Development Investment Fund by Sichuan Development Holding Co., Ltd. and CCB International, acquisition of Shenzhen Zhongjian Building by Great Wall West China Band Co., Ltd., acquisition of Hengkang Medical HQ by Chengdu Jinxin Medical Investment Management Group Co., Ltd., acquisition of HQ building by the Chengdu branch of China Development Bank, and joint venture of a power station on Yazui River by CR Power and Sichuan Guanjia Industrial Co., Ltd.


Mr. Zhou has rich experience in the automobile distribution sector. In 2014, he advised China Auto Dealers Chamber of Commerce (CADCC) on a CNY 6 billion subsidy claim for Chinese auto dealers against BMW China, which is second to none in terms of influence in the automobile industry. In 2017, Mr. Zhou counselled the KIA Import Working Committee of CADCC on a compensation claim against Hyundai (China) Investment Co., Ltd. and secured a huge compensation for KIA dealers in China. As executive deputy director and chief legal counsel for the Legal Services Center of CADCC, Mr. Zhou has provided legal services for auto dealers nationwide in their subsidy and antitrust disputes with auto manufacturers. Moreover, Mr. Zhou submitted practical proposals on behalf of auto dealers concerning the exposure draft of the Measures for the Administration of Automobile Sales prepared by the Ministry of Commerce of the PRC, and the proposals were accepted by the ministry.


In the area of dispute resolution, Mr. Zhou has an outstanding track record. He has landed favorable results for his clients in numerous litigation and enforcement cases before Chengdu Intermediate People’s Court, Sichuan High People’s Court, the Supreme People’s Court, Shenzhen Intermediate People’s Court, and Guangdong High People’s Court, as well as in arbitration before CIETAC and Chengdu Arbitration Commission. The following are some of these cases that Mr. Zhou has handled:

  • Represented Tibet Summit (concerning a contract dispute), Sichuan Tierui Construction Engineering Co., Ltd. (concerning a contract dispute), Chengdu Jiuxi Garden Co., Ltd. and Qiuping Yin (concerning a loan contract dispute), and Chengdu Culture & Tourism Development Group Ltd. (concerning a dispute over joint development of real estate) in their respective first and second instance proceedings before Sichuan High People’s Court and the Supreme People’s Court respectively, with all the cases ended up with a judgment in favor of the clients;

  • Represented Jiangxi Pacific Yuhong Construction Co., Ltd. before the Supreme People’s Court in the second-instance trial of a construction contract dispute, with the first-instance judgment modified by the court;

  • Represented Chengdu Guchang Mining Investment Co., Ltd. before Sichuan High People’s Court in the first-instance trial of an equity transfer dispute against a Chengdu-based company and Nuode New Materials Co., Ltd. (600110.SH) and secured a favorable judgment for the client;

  • Represented Chongqing Hengyao Industry Co. Ltd., Sichuan Chuanyin Construction Investment Co. Ltd., and Chengdu City Music Hotel Co. Ltd. before Sichuan High People’s Court in the first instance trial of a dispute over joint development of real estate and secured a judgment in favor of the client;

  • Represented Sichuan Energy Investment Co., Ltd. before Sichuan High People’s Court in the first-instance trial of its dispute over capital increase against a Sichuan-based company and an individual and won the trial for the client;

  • Represented Chengdu Guchang Mining Investment Co. Ltd. before Sichuan High People’s Court in the first-instance trial of its dispute with a Chengdu-based company, among others, over liability for harming corporate interests and obtained a judgment in favor of the client;

  • Represented the Chengdu branch of SPD Bank before Chengdu Intermediate People’s Court in an enforcement case against a Yuyang-based company and Hunan-based company, with the amount of enforcement exceeding CNY 5 billion;

  • Represented Sichuan Ruikong Industrial Co., Ltd. before Chengdu Arbitration Commission in arbitration against a district government and a Chengdu-based company over a contract dispute and won an arbitral award of over CNY 1.7 billion;

  • Represented Chengdu Heshun Real Estate Group Co., Ltd. before Chengdu Arbitration Commission in arbitration over its contract disputes with a Sichuan-based company, among others, and obtained an arbitral award of over CNY 300 million; and

  • Represented Sichuan Chuanjiao Cross Road & Bridge Co., Ltd. before Chengdu Arbitration Commission in arbitration concerning its dispute with a Sichuan-based company over a construction contract and secured an arbitral award of over CNY 100 million.


Mr. Zhou also acted for Sichuan Chuanjiao Cross Road & Bridge Co., Ltd. (as respondent) in a construction contract dispute before Chengdu Arbitration Commission and Deyang Intermediate People’s Court, with the claimant’s claim dismissed by the court on the grounds that the arbitration agreement involved was invalid. This case is significant as it is one of the few cases in Sichuan province where a court invalidated an arbitration agreement.
