Weiran SONG

Ms. Song’s practice focuses on mergers and acquisitions, greenfield investments, joint ventures and strategic alliances, and technology licensing transactions involving China. Ms. Song also advises public and private multinationals, private equity funds, and Chinese public companies on a wide range of issues, including corporate governance, restructuring, employment, import-export and other general corporate matters, and assists clients in internal investigations and compliance-related matters.
Ms. Song serves clients in a variety of industries, including life sciences, semiconductors, technology, manufacturing, consumer products, natural resources, chemicals, etc.

  • Represented Baring Private Equity Asia in take-private acquisition of Ginko International who manufactures, markets and sells Hydron branded contact lens

  • Represented Koncentra Verkstads AB in the acquisition of the large-size piston business from Rheinmetall Group

  • Represented Carestream as PRC counsel in the sale of its dental digital business to funds managed by CD&R and CareCapital

  • Represented Carestream as APAC counsel in the sale of its Healthcare IT business to Philips

  • Represented miVIP Healthcare Holdings, LLC in its sale of several ambulatory Surgery Centers in US

  • Represented NXP in various rounds of investment in an auto-drive technology company

  • Represented NXP as China counsel in the acquisition of Marvell’s WiFi and Bluetooth connectivity business

  • Represented NXP in investment in a Pre-IPO technology company

  • Represented Imerys in buyout of minority shareholders of Shandong Imerys Mount Tai Co., Ltd.

  • Represented Imerys in its sale of business assets in China

  • Represented OSI Group in its sale of business assets in Shanghai

  • Represented NXP in restructuring and recapitalization of a joint venture with Datang Telecom engaged in design and R&D of battery management chips

  • Represented NXP in extension of a joint venture term and amendment to joint venture contract and articles of association of the joint venture with an SOE in Tianjin

  • Representing a number of foreign invested companies and domestic companies in their daily legal affairs and providing legal advice regarding industries such as life science, semiconductors, manufacturing, trading, technology, and software
