Summer XIA

Ms. Xia specializes in cross-border investment/M&A, litigation & arbitration, labor & employment, and she has served clients across a wide range of industries, including manufacturing, food, pharmaceutical products, chemical products, information technology, architectural design, internet, online game, software, publishing, automobile, and real estate.

Ms. Xia assists international and domestic clients in their investment and operations under PRC laws, services covering structuring investment plans, asset restructuring, establishment of PRC subsidiaries and joint ventures, acquisition of local enterprises, outbound investment, etc. She also provides legal advice on day-to-day corporate matters, such as contract review, organization structure adjustment, office lease, and HR/employment matters, on top of which, she carries extensive experience in setup of internal data compliance systems, data exit security assessments, and personal information protection impact assessments. Her services to her clients are professional and efficient.

Representative Matters

  • Advised Arm on the establishment of a semiconductor joint venture in China

  • Advised WildBrain Ltd. (TSX:WILD), a listed Canadian animation and entertainment company, on the establishment and operation of its business in China

  • Represented Hexagon Purus (HPUR.OSE) and CIMC Enrico (03899.HK) in the establishment of joint venture companies in Hong Kong, the establishment of operating subsidiaries, and investment in and construction of production bases in China

  • Represented Continental Structural Plastics in its acquisition by Teijin Group (3401.TSE)

  • Represented Harsco Group (NYSE:HSC) in the sale of its global infrastructure business to Brand Energy and Infrastructure Services

  • Represented ZF Group in the sale of its global rubber and plastic business to New Times Materials Corp (600458.SH)

  • Advised BioMar to set up an equity joint venture with Tongwei (600438.SH) in Wuxi and to acquire a local factory through the equity joint venture

  • Represented STIHL in its acquisition of 35% equity interest in Changzhou Globe Tools Group 

  • Represented dozens of foreign companies in setting up joint ventures and wholly-foreign owned enterprises in China and provided general corporate services to such enterprises

  • Represented a PRC subsidiary of a Hong Kong-listed company engaged in automobile services in Shenzhen in labor disputes launched by 85 employees

  • Advised a number of foreign-invested enterprises on personal information protection compliance matters, including assisting them in identifying the current status of personal information processing and existing issues, establishing internal data protection systems, and completing compliance requirements for the cross-border transfer of personal information

  • Advised an automotive software company on compliance requirements for its various SaaS products, including analyzing and advising on product market access and licensing requirements, data compliance obligations of product operators, analyzing and advising on potential legal risks under each business model, and drafting privacy policies and terms of use
