Wayne WANG
Wayne Wang is admitted as a solicitor in Mainland China, Hong Kong, China and Australia, and is also a registered foreign (Australia) lawyer in Zhong Lun's Hong Kong office. He was a Senior Associate/Senior Counsel in the Shanghai and Hong Kong offices of Allens, a leading Australian law firm, from 2006 to 2014, before he became a partner of Zhong Lun in 2014. He has many years of legal service experience in the areas of outbound investment by Chinese enterprises, energy and minerals, foreign investment in China and regulatory compliance, etc.
Outbound Investment: Wayne Wang has assisted numerous listed private companies or state-owned enterprises in completing outbound investment and M&A projects involving Hong Kong, China and Macao, China, ASEAN countries, Australia and New Zealand, Mongolia, Europe, the Americas and Africa, and in various industries of mining, manufacturing, telecommunications, pharmaceuticals, finance, real estate and infrastructure.
Cross-Border Energy: Wayne Wang has assisted a number of Chinese companies in sourcing offshore LNG and pipeline natural gas and assisted in resolving a number of disputes over cross-border contracts on natural gas trade. He has also undertaken joint venture construction and operation of LNG terminals, cross-border coal and power trading, and outbound and domestic investment and M&A projects in oil and gas, new energy and other industries.
Since 2019, Wayne Wang has been listed as a "Leading/Recommended Lawyer" in Chambers Asia Pacific, IFLR1000, The Legal 500, and asialaw Profiles in China or Guangdong for many consecutive years, and has been recognized by clients and peers for his expertise and professionalism.

Chinese Outbound Investment
Advised ZWSOFT (688083.SH) on its acquisition of 100% shares in a well-known industrial software UK company through its Hong Kong subsidiary.
Advised Beijing Konruns Pharmaceuticals (603590.SH) on its acquisition of certain assets of China NT Pharma (1011.HK) related to orthopedic medicines (Miacalcic) for a consideration of approximately CNY 900 million. The due diligence for this deal was conducted in more than twenty jurisdictions, including the Chinese mainland, Hong Kong, USA, Switzerland, the BVI, the Cayman Islands, France, and Germany.
Advised Guangzhou Metro on its subscription for shares in Yuexiu Property (0123.HK) in consideration of HKD 6.2 billion. Upon completion of the deal, Guangzhou Metro became the second largest shareholder of Yuexiu Property.
Advised Guangzhou Metro on its subscription for shares in Chong Hing Bank (1111.HK) in consideration of HKD 1 billion. Upon completion of the deal, Guangzhou metro became the second largest shareholder of Chong Hing Bank
Advised Great Wall Motor (601633.SH; 2333.HK) on its subscription for 5% of the new shares in Pilbara Minerals Limited (ASX: PLS)
Advised the Sydney Branch of China Construction Bank on syndicated loans of USD 2.5 billion in total provided to State Grid Corporation of China to support the borrower’s acquisition of Pacific Hydro Pty Ltd, an Australian renewable energy company
Advised a state-owned enterprise on its acquisition of certain H-shares in a Hong Kong listed PRC bank
Advised a state-owned enterprise on its acquisition of 5% shares in a Hong Kong listed technology company through Hong Kong Stock Connect
Advised a fund on its investment in a new energy vehicle enterprise during the pre-IPO round for overseas IPO of the latter
Assisted a state-owned enterprise in setting up an overseas investment and financing platform
Advised Jollychic, an e-commerce platform and unicorn company, on its issue of overseas convertible bonds to UAE’s G42 Group and its series C+ financing of USD 65 million
Advised an internet enterprise on its investment in an online music sharing platform in Australia
Advised a private company on its acquisition of a real estate property in Malaysia

Foreign Investment in China and Regulatory Compliance
Advised overseas sellers on selling their 100% equity in Shanghai ISO Medical Products Co., Ltd. and Sentry (Nantong) Medical Materials Co., Ltd. to a subsidiary of the A-share listed company Zhende Medical (603301.SH) in consideration of approximately CNY 510 million. The deal was ranked number six on the M&A rankings of China medical equipment industry in 2021

Advised Keppel Land, a real estate company owned by Keppel Group, Singapore’s largest multinational company, on Keppel Land’s acquisition of 30% shares in Win Up Global, an offshore company that holds Westmin Plaza, a shopping mall in Liwan District, Guangzhou
Advised SATS China Co., Ltd., a subsidiary of SATS Ltd. (SGX: SATS), on its acquisition of 50% shares in Nanjing Weizhou Airline Food Corp., Ltd., a NEEQ listed company, in consideration of CNY 156.2 million. The target company was delisted from the NEEQ on August 21, 2019
