Fangrong WU

Mr. Fangrong Wu has practiced law for more than 21 years, mainly focusing on litigation and arbitration, investment/M&A and corporate governance, as well as compliance and anti-corruption. Over these years, by virtue of his outstanding capabilities and extensive experience, he has helped clients grasp business opportunities, identify risks, and handle disputes in the increasingly complex market environment. In 2023 and 2024, Mr. Wu was recognized by Chambers Greater China Guide for his work in real estate. In the areas of construction and real estate, investment and financing, and TMT litigation, Mr. Wu has successfully won hundreds of litigation cases on behalf of his clients, including many difficult and complex real estate litigation and arbitration cases involving a large number of entities and a huge amount of claims, which carry weight in the legal market and bear significant social impact. He has handled various types of disputes in the field of real estate investment and financing, cooperative land acquisition and development, shareholder cooperation disputes, corporate deadlock and control disputes of project companies, project construction, interior fit-out quality and standard disputes, disputes over lack of supporting facilities, as well as commercial real estate operation and leasing disputes. He excels in advising clients in major difficult and intricate litigation cases in the field of construction and real estate (including group litigation cases) and disputes in the field of TMT over issues such as investment and financing, equity cooperation, and M&A.


Major Litigation

Property Development

  • Acted for a property development company in the second instance of a group claim dispute (23 cases) involving presale contracts of commercial properties and won the case

  • Represented the defendant in a group action brought by 14 property owners over price variance of villas developed by the defendant, and won all the cases

  • Represented a development company in a number of cases involving group claims for compensation for gardens, basements, and parking lots in pre-sale contracts and won all the cases

  • Represented a development company in group action brought by property owners for rescission of refurbishment agreements and claims for compensation

  • Represented a development company in a case against a property owner seeking to invalidate the terms of a supplementary agreement for the sale and purchase of a commercial property, winning the case and having the court dismiss all the claims of the property owner

  • Represented a company in a case brought by a property owner in an attempt to invalidate a renovation agreement and seek reimbursement of renovation costs, winning the case and having the court dismiss all the claims of the property owner 

  • Represented a development company in a dispute against a property owner seeking to conclude a supplementary agreement on fitting out and renovating the house in question as agreed, winning the case and having the court dismiss all the claims of the property owner

  • Represented a real estate company in a series of cases, in which a group of property owners of Vanke Qianjiang Bay Garden project refused the delivery of properties and made claims for compensation, and won the cases (first of its kind in Hangzhou)

  • Represented a development company in a greenfield dispute over the sale and purchase of villa gardens in a villa project in Yuhang District and won the case

  • Represented a development company in a number of cases  where property owners surrendered the properties of a villa project in Lin'an District to the company and made claims for compensation, and won the case

  • Represented a development company in one of the first-ever group litigation cases in Hangzhou, in which the property owner of Zhonghai Wisteria Court project applied to rescind the terms of the supplementary agreement on the sale and purchase of commercial properties, and won the case

  • Represented a development company in a dispute over a deposit contract (involving a deposit of millions of yuan) and won the case

  • Represented a development company in a group litigation in relation to claims for absence of commercial facilities and gardens (Hangzhou Kaiyuan Century project) and won the case

  • Acted for various development companies in a number of cases involving the delayed delivery of commercial properties, delayed issuance of certificates, breach of contract, and housing quality warranty claims, achieving a high success rate in such cases


Construction Engineering

  • Represented a construction company in a number of landmark cases involving settlement of payment for construction and claims for delay in construction, and achieved the outcomes as expected

  • Represented investors/construction companies in a number of cases involving construction contract disputes between the actual builder and the construction company, and won the cases

  • Acted for investors/construction companies in a number of cases involving the determination of the nature and validity of construction contracts, construction quality claims and settlement of construction payments, and won the cases

  • Represented a project management service provider in a case to recover project management fees from the construction company and won the case

  • Represented a general contractors and the employers in a number of cases involving construction contract disputes between the subcontractors and the employers, and won the cases

  • Acted for a real estate company in an arbitration case against a construction group company in Zhejiang in a dispute over a construction contract

  • Acted for a design and engineering company in a construction contract dispute against a construction company arising from disputes over entities and supervisory objections


Company Equity and Administration

  • Assisted a client in regaining effective control of a project company in a series of disputes over a real estate company's shareholding interests, official seal and confirmation of the company's operation rights and won the case

  • Represented the Hangzhou Municipal Construction Committee in several cases brought by individuals against the committee over the performance of statutory duties and won the cases

  • Represented Hangzhou Municipal Construction Committee in several cases brought by individuals against the committee for information disclosure and won the cases

  • Acted for a third-party development company in a number of administrative litigation cases in which the owner sued the administrative authority, requesting for revocation of the completion inspection record form, planning permission and acceptance, fire inspection, pre-sale permit, and quality supervision report, and won the cases

  • Represented a development company in a series of administrative litigation cases brought by the owner in relation to various administrative acts such as bundled sales, pre-sale permits, planning and acceptance, and completion and acceptance, and won the cases with such administrative acts upheld by the court

  • Represented a development company in an enforcement hearing case against a housing and construction administrative unit in Hangzhou, winning the case and having the enforcement application dismissed by the court

  • Represented a development company in a series of disputes with project owners and government agencies regarding noise pollution and Negotiorum Gestio in the surrounding areas of the project, and effectively defended the client's rights and interests


Project M&A and Investment

  • Provided legal services concerning agreement review, document drafting, structuring, pathway and risk argumentation, and negotiation to numerous clients in the real estate sector in terms of land acquisition and joint development projects

  • Provided legal services including due diligence, transaction structuring, drafting of transaction documents, negotiation, and others to Cinda Real Estate in relation to an investment and cooperation project in Xiaoshan, Hangzhou

  • Provided Greentown Group with services including due diligence, drafting and revision of transaction documents in relation to an acquisition project in Jinhua

  • Provided Cinda Asset and Cinda Real Estate with services including due diligence, transaction structuring, drafting and negotiation of transaction documents in relation to investment, financing and M&A as well as an urban renewal project in Ganzhou

  • Advised China Eastern Asset Management Corporation on the acquisition of non-performing debts held by a trust company 

  • Provided due diligence services to Hangzhou Gold Investment Property Management Co. 

  • Provided legal services for due diligence to several listed real estate enterprises participating in the hybrid reform projects of state-owned real estate companies 

  • Provided legal services for Longfor Group's acquisition of several property management companies and projects in East and South China, including due diligence, transaction structuring, drafting of transaction documents, negotiation, closing, etc. 

  • Provided M&A-related legal services, including due diligence, drafting of transaction documents, negotiation, and others, for Sino-Ocean Pension's acquisition of a medical and health care project 

  • Provided legal services for due diligence, transaction structuring, drafting of transaction documents, negotiation, division of property, and closing for Sino-Ocean Land's acquisition of Hangzhou Jiulongwan project (village land reservation project) 

  • Provided legal services, including due diligence, for the acquisition of real estate projects in Ningbo and Hangzhou by Sunrise Property

  • Provided full process legal services for the development and construction of Sheng'ao Group's furniture manufacturing innovation and entrepreneurship base project (a key project in Xiaoshan District)

  • Provided comprehensive legal services for a number of office projects such as Wulin Times, Huan Yu World, Sheng Ao Tower, and Zhonghai Qianjiang International Centre 

  • Provided full-range legal services for a number of new real estate complex projects in Hangzhou, accumulating extensive experience in legal matters such as development timeframe of complexes, sales model innovation, property subdivision and business management, and handling of serviced flats 

  • Represented the owner of a hotel in Hangzhou in negotiations with Marriott International Group in relation to the management of Renaissance Hotel and Marriott Executive Apartments, made amendments to the hotel management contract and related agreements, and assisted in the successful introduction of the corresponding hotel management brand 

  • Represented SOHO3Q in connection with the lease of the Hangzhou Fortune Financial Center in Qianjiang New Town, providing legal services for due diligence, modification of the lease contract and related agreements, as well as contract negotiation and execution 

  • Represented Guazi to successfully complete the leasing and expansion of the guaranteed sales operation sites in Hangzhou and Jiaxing, providing legal services including due diligence, modification of transaction documents, contract negotiation, etc. 

  • Assisted in the preparation, negotiation, and implementation of contracts relating to the leasing and operation management of supermarkets, cinemas, department stores, and other projects
