Recently, Shenzhen-listed Chongqing Huapont Pharm. Co., Ltd. (002004.SZ) has accomplished the merger of Beijing Nutrichem Laboratory Co., Ltd. through the exchange of shares. Zhong Lun Law Firm partner Guo Kejun, associates Wei Haitao and Xie Xiaoyu have provided legal services for the merger.
In the merger, Chongqing Huapont Pharm. Co., Ltd. first became a non-controlling shareholder of Beijing Nutrichem Laboratory Co., Ltd., a well-known and leading pesticide manufacturer in China, and then accomplished the merger to achieve the business integration. The innovation of this project is that the listed company, by means of paying through share issuance, integrated the high quality enterprise relevant to its business, expanded its scope of business and enhanced competitiveness, and that the shareholders of Beijing Nutrichem Laboratory Co., Ltd. achieved capitalization of their equity assets.
