Zhong Lun Advises Platinum Equity on the Acquisition of the Businesses from Broadway Industry Group Limited
On August 22, 2016, Platinum Equity a USA-based private equity firm (“Platinum Equity") announced it has successfully signed a definitive agreement with Singapore listed Broadway Industrial Group Limited (“Broadway Industrial Group") to overall acquire the Foam Plastic Solutions and Flow Control Devices businesses from Broadway Industrial Group (the “Acquisition"), of which the consideration was for SGD 150 million. This Acquisition has been smoothly closed before the end of 2016.
As the PRC legal counsel of the acquirer, Zhong Lun Law Firm advised Platinum Equity on the acquisition of more than 10 entities incorporated in the Mainland and HK SAR of PRC, including the legal due diligence, tax arrangement, drafting the Share Purchase Agreements (SPAs) for the PRC entities and HK entity, financing plan and closing.
