Mr. Qiao has been practicing law in China for over two decades, developing a profound understanding of the PRC legal landscape and an extensive track record in foreign direct investment, mergers and acquisitions, and corporate financing across the real estate, infrastructure, and energy sectors.

Representative Matters

Among Mr. Qiao's most notable mandates is the Sino-US Shanghai Disneyland Theme Park Project. Serving as the sole PRC legal counsel, he led a dedicated team advising on the project for over six years, playing an instrumental role in the successful signing of the joint cooperation agreement in November 2010. 


Mr. Qiao has also served as PRC legal counsel to leading domestic and international real estate groups—including Sun Hung Kai Properties, Kerry Properties, Longfor Properties, and Agile Property—assisting them with high-profile projects such as the Shanghai International Finance Centre (IFC), the Shanghai iAPM Project, and the Hainan Clearwater Bay Project (a joint venture between Morgan Stanley Investment Funds and Agile Property). Over the years, he has represented Carlyle, ING, Morgan Stanley, J.P. Morgan, Grosvenor, Blackstone, and other major international investment banks and funds in their onshore private equity financing, M&A (particularly large-scale real estate transactions), strategic investments, and pre-IPO financing. This includes landmark deals such as Carlyle's first onshore acquisition (Shanghai Zhongfang Forest Villa), Blackstone's first domestic real estate M&A investment, and Grosvenor's first acquisition in the PRC. 


Furthermore, Mr. Qiao frequently advises global financial institutions—such as Goldman Sachs, Morgan Stanley Asia, Citi, and Deutsche Bank—and has guided the corporate restructuring, onshore/offshore reorganizations, and IPOs of prominent corporations including Longfor Properties, China Yongle, Tencent Holdings, Jinke Property Group, Oriental Pearl, Recruit, and Good-Ark Electronics. In October 2016, he provided comprehensive PRC legal counsel to a leading real estate fund in its acquisition of the Century Link Project, a landmark transaction that set a new record for real estate acquisitions in the Asia-Pacific region that year. He also delivered full-service legal support to ZTO Express Co., Ltd. for its New York Stock Exchange listing via the issuance of ADSs by its Cayman affiliate.
