Yuan CHEN

Ms. Yuan Chen graduated from East China University of Political Science and Law with a master's degree in law. She has been working at Zhong Lun Law Firm, Shanghai Office since June 2008, where she currently serves as an equity partner. Ms. Chen has more than 10 years of legal experience and provides high-quality legal services with efficiency to domestic and foreign customers in capital markets, investment/M&A and corporate governance, private equity, and investment funds.

  • Acted as lead counsel for Jingdong in its proposed issuance of Chinese Depositary Receipts (CDR)

  • Acted as lead counsel for several A-share IPO, such as Everdisplay Optronics (688538.SH), United Imaging Medical Technology (688271), VT Industries (300707.SH), and Ningbo Runhe Chemical Industrial (300727.SZ)

  • Acted as lead counsel for Bank of Huzhou in its reorganization and listing and other proposed A-share listing

  • Provided legal services to Modern Dental (03600.HK), Chiho-Tiande (00976. HK), and other overseas listing

  • Provided legal services to Hanma Technology in its refinancing

  • Provided legal services for the management of News Holdings Limited in its acquisition of Star Media

  • Provided legal services to Simei Media Co., Ltd in its acquisition of Keyi Media

  • Provided legal services to Earthasia Design Group in its acquisition of Ningbo Huayuan Garments Construction Co., Ltd. 

  • Provided legal services to T3EX Group in its acquisition of Fresh Beauty

  • Provided legal services to Huabao Flavours & Fragrances Co., Ltd. in its acquisition of Shanghai Yifang Rural Technology Holdings Co., Ltd. 

  • Provided legal services to E-Sign in its acquisition of Jiangxi Kinggrid Technology Co., Ltd. as well as in other domestic and overseas acquisition and reorganization projects

  • Acted as lead counsel for several enterprises financing projects, including but not limited to the introduction of industrial fund investors by a garment manufacturing company, the introduction of multiple industrial fund and guidance fund investors by an intelligent logistics company, the introduction of investors by E-Sign, an e-signature service provider, and the introduction of investors by intelligent ride-hailing ecological platform T3 Go

  • Acted as lead counsel for National Green Development Fund Co., Ltd. 

  • Provided legal services for CCB International, CICC Capital, CITIC Capital, Asia Union Fund, Jiaxin Capital, Chengwei Capital, and other funds to invest in private investment projects of different types of companies

  • Provided legal services concerning private equity fund for several private equity fund managers

  • Served as retainer-based legal adviser for many listed and unlisted companies
