Ms. Gao specializes in domestic and offshore mergers and acquisitions, cross-border investments, foreign investments, private equity investments, real estate and corporate matters in a wide range of industries including manufacturing, automotive, real estate and logistics, high-tech, telecommunications, and retail. Ms. Gao’s practice has been recognized by many legal professional medias, and she was recently named "Next Generation Lawyers" and a Specially Recommended Lawyer by the Legal 500 Asia Pacific in the years 2020 and 2021.
Ms. Gao has been representing multinational clients in a series of cross-border transactions, including the organization and implementation of cross-border M&A transactions. She has provided legal services to a number of Chinese enterprises in their outbound investments, as well as for multinational enterprises in their strategic deployment and operation in the Chinese market. Ms. Gao has provided legal advice on business cooperation for a number of Chinese and foreign enterprises, the structure and business models for setting up joint ventures by Chinese and foreign enterprises, the project development, acquisition, sale and financing of foreign-invested enterprises in China, and the financing for multinational clients. Ms. Gao also provided supporting services to high-growth companies on financing, structuring, corporate restructuring and incentive scheme design.
Ms. Gao’s clients include Decathlon, Continental, Bank of China Group Investment Limited, Shanghai Zhangjiang Hi-Tech Park Development Co., Ltd., Prudential, DHL, Farfetch, Takata, Hanon Systems and many other well-known domestic and international companies.
Representative Matters
Represented Continental AG, a Fortune 500 Company and the fourth largest tire producer around the world, in its restructuring in China, and the establishment of several joint ventures with Chinese partners in Chongqing, Changzhou and Shanghai by its Chinese subsidiaries (including advising in the negotiation of investment agreements, joint venture agreements and other legal documents)
Represented and provide full-spectrum Chinese-law-related services to Takata in its sale of core assets (except PSAN gas generator business) to Joyson Electronics, the total transaction value of which amounts to USD 1.588 billion
Advertised Farfetch (NASDAQ listed) on its entry into the Chinese market through a Chinese cross-border e-commerce platform and data compliance
Represented Decathlon (Shanghai) Investment Co., Ltd. and its affiliates in making strategic investment in an enterprise headquartered in Shenzhen and its affiliates manufacturing sports accessories, including advising in the declaration of merger fillings
Represented Prudential, a leading US insurance company, in forming its China strategy and preparing to establish a joint-venture life insurance company in Shanghai, PRC involving a proposed total registered capital of RMB 500 million
Represented Prudential, a leading US insurance company, in its acquisition of part of the equity interests in a state-owned fund management company through its wholly-owned subsidiary in China
Provided comprehensive legal services to Merial, a world leading animal health company, with regard to its market entry and development strategies into the Chinese animal healthcare products market and compliance management
Provided comprehensive legal services to Lear, a famous global automobile components manufacturer, in the construction of its Asia-Pacific headquarter and establishment of several joint ventures in China
Represented DHL in its acquisition of Shenyang DHL Logistics Industrial Park and completion of its exit in its transaction with Blackstone Captical
Represented Zhangjiang Hi-Tech (600895.SH) and Shanghai Zhangjiang Haohang Innovation Equity Investment Management Co., Ltd. in investing in a number of scientific and technological innovative enterprises in the fields of integrated circuits, biopharmaceuticals and medical devices, new-generation information technology and intelligent manufacturing, etc., and in the industry to provide comprehensive legal services
Represented Bank of China Group Investment Limited in its acquisition and transfer of a number of major domestic real estate projects as well as the holding and operation of mixed-use real estate projects.
Represented UOL, a listed company in Singapore, in the negotiation with owners of two five-star hotel in Beijing and Dalian with respect to the execution of hotel management agreements and related side agreements, modifying accordingly to the content of the negotiation and finalizing the agreement for signature
Represented Wallenius Wilhelmsen in responding to the monopoly investigation initiated by the NDRC.
