Joey ZHOU

Joey has more than ten years of legal experience, and has always been deeply involved and has rich practical experience in the fields of private equity, investment, M&A, capital market, etc. Joey has served a wide range of clients, including well-known private equity management institutions, listed companies, large private enterprises, state-owned enterprises, start-up enterprises and multinational enterprises. Joey specializes in various industries including but not limited to high-tech, education, medical care, consumer goods, high-end manufacturing and military industry, etc.

Representative Matters

PE/VC funds and Equity Investment

  • Joey has served more than 30 private equity management institutions and investors, providing legal services for all stages such as fund formation, investment, management and liquidation

  • In the field of fund formation, Joey has represented GPs in the managers registration and the establishment of various master funds and special funds, and has represented various LPs (including government-guided funds, market-based FOFs, as well as listed companies and high net worth clients) in fund investment; Joey has participated in more than 50 fund formation projects

  • In the field of equity investment, Joey has completed hundreds of CNY or USD investment projects on behalf of PE/VC funds, large enterprises and other investors, and has rich project experience in high-tech (semiconductor, new energy and materials, intelligent manufacturing, software and artificial intelligence), education, medical, consumer, high-end manufacturing, military and other industries


Corporate Services and M&A

  • Joey has been the legal advisor of lots of listed companies, large private enterprises, state-owned enterprises and startups for years, providing legal advice for their daily operations and legal support in their projects such as setting up joint ventures and equity mergers and acquisitions and sales.

  • In particular, Joey specializes in serving startups, providing legal services on their shareholding structure design, employee incentive plan and daily operation. She represented them to complete dozens of CNY or USD financing projects from angel round to Pre-IPO round, and provided legal services for their establishment of joint ventures, M&A sales and other transactions


Capital Market

  • Joey has served many listing or restructuring projects in China and overseas capital market, including Shanghai, Shenzhen, Hong Kong and the United States capital market. The representative projects include Zhonggu Logistics’s IPO on A-share market, Chengtou Holding’s merger of Yangchen B-share and split to list on A-share market, Xishui Strong Year’s merger of Tian An Property Insurance by issuance of shares, China PengFei’s IPO on HKEx, Shunfeng’s IPO on HKEx, China Fordoo’s IPO on HKEx, Gridsum’s IPO on NYSE, etc.
