Ms. Ying Liu specializes in cross-border investment, M&A, international engineering, and regulatory compliance, covering sectors of energy and power, mineral resources, infrastructure, media, etc.
With more than 10 years of considerable experience, Ms. Ying Liu has served as lead counsel for Chinese government departments and state-owned enterprises for their various overseas projects, such as Ministry of Finance of the People’s Republic of China, Ministry of Ecology and Environment of the People’s Republic of China, China National Nuclear Corporation, State Power Investment Corporation, State Grid Corporation, China Southern Power Grid Corporation, Power Construction Corporation of China, China National Gold Group Corporation, and China Media Group. She provides legal services for greenfield investment, international engineering, and cross-border M&A projects, encompassing due diligence for the legal environment of investment destination countries, designing and analysis of transaction structure, project due diligence, establishment of and reregistration for foreign companies, drafting, reviewing and negotiation of investment agreements, concession agreements, equity transfer agreements, etc., as well as legal services for financing, construction, operation, and insurance for projects involving nuclear power plant, photovoltaic, wind power, hydropower, thermal power, railways, highways, municipal administration, sports venues, schools, hospitals, uranium mining, gold mining, etc.

  • Acted as lead counsel to China National Uranium Co., Ltd. in its acquisition of 68.62% interest in Namibian Rössing Uranium Ltd. from Rio Tinto Group, which won the "Deals of the Year 2018" award by China Business Law Journal

  • Acted as lead counsel to Baganuur Power LLC in its Large Thermal Power Plant BOT concession project in Mongolia, which was shortlisted as an "Energy & Resources Deal of the Year 2015" by ALB

  • Acted as lead counsel in Laos-China Railway BOT concession project, which is the first overseas railway BOT concession project invested, built, and operated primarily by China and connects China's railway network with those abroad under the Belt and Road Initiative

  • Acted as lead counsel to China Harbour Engineering Company Ltd. in its equity acquisition of a Nepalese hydroelectric power project

  • Acted as lead counsel to a Chinese national enterprise in its equity acquisition of wind power projects in Vietnam

  • Acted as lead counsel to a Chinese national enterprise in its equity acquisition of a 300MW photovoltaic power project in operation in Mexico
