Steven HUANG

Steven is a partner of Zhong Lun’s Corporate and M&A Department and is admitted both in China and New York. Steven practices law in Zhong Lun's Shanghai Office and has substantial experiences in M&A transactions, private equity and capital markets, foreign direct investment, bankruptcy and liquidation, and general corporate matters. Steven advises multinational corporate clients and SMEs on their investments and M&A transactions in China (acting as acquirers or sellers), including control acquisitions, minority investments, divestures, joint ventures, restructurings, liquidations and other cross-border transactions. He represents clients in a wide range of industries including TMT, industrials, automobiles, consumer products, health care/life sciences, education, professional services, entertainment and sports.

Representative Matters

Corporate and M&A 

  • Represented Arm Limited on the sale of 51% equity in Arm China to Chinese investors and to convert Arm China into a joint venture

  • Advised SoftBank on the transfer of 49% equity in Arm China from Arm Limited

  • Assisted Arm China in regaining control and normalization of its operation 

  • Advised The Hershey Company on the strategic restructuring of its Chinese business

  • Represented Enpro Industries on the sale of GGB to Timken

  • Represented STIHL in its acquisition of 35% equity interest of Changzhou Globe Tools and its subsequent restructuring for IPO in China

  • Advised Schaeffler Technologies on the acquisition of Elmotec

  • Advised Schaeffler on the sale of its chain drive division

  • Advised Pret A Manger to open stores in Shanghai and in its subsequent exit from China for its sale to the Reimann family 

  • Represented Continental Structural Plastics in its acquisition by Teijin Group (3401.TSE)

  • Represented Harsco Group (NYSE: HSC) in selling its infrastructure business to and to merge with Brand Energy and Infrastructure Services to form BrandSafway 

  • Assisted Danish Crown in setting up operations in China and provided general corporate services to its Chinese operation

  • Represented Oerlikon in selling its drive system business to Dana Group

  • Assisted Silver Fern in setting up operations in China and provided general corporate services to its Chinese operation

  • Assisted Audia Group in setting up business in China and provided general corporate services to its Chinese operation

  • Represented ZF AG in selling its global rubber and plastic business to New Times Material (600458.SH) 

  • Represented Shanda Games in selling Bianfeng Games to ZheBao Media (600633.SH) 

  • Represented Shanda Group in acquiring several online gaming and internet companies in China 

  • Represented Mindray Medical (NYSE: MR) in acquiring a Chinese manufacturer of medical devises 

  • Represented Allcargo (NSE: ALLCARGO), a publicly listed logistics company headquartered in India, in acquiring two logistics companies in China

  • Represented Austin Powder in acquiring several Chinese industrial explosive and blasting service companies 

  • Represented General Motors in its acquisition of a Chinese company engaged in distribution of aftermarket auto parts 

  • Represented Johnson Control in setting up several joint ventures in China and provided general corporate services to its subsidiaries in China 

  • Represented ZF AG in setting up several joint ventures in China and provided general corporate services to its subsidiaries in China 


PE and Overseas Listing 

  • Represented HTC in its investment in DD Map, a leading location-based search engine platform in China 

  • Represented Robeco, an European asset management company, in its investment in a Chinese company offering cold logistics services 

  • Represented several Chinese TMT and consumer products companies in receiving investment from leading funds including SoftBank, SAIF and DT Capital 

  • Acted as PRC counsel for the listing of Shanda Games on NASDAQ 

  • Acted as PRC counsel for the attempted listing of Shanda Literature 

  • Acted as PRC counsel for the listing of Array Networks on Taiwan Stock Exchange 

  • Acted as PRC counsel for several qualified transactions for companies listed on TSX and TSXV
