Joyce WANG
Ms. Wang is a non-equity partner in the Shanghai office of Zhong Lun Law Firm. She has over 10 years of experience and is licensed in both the PRC and California. She is especially skilled in complex and significant dispute resolution arising from cross-border distressed asset investment and bankruptcy procedures. In the early years, she accumulated extensive experience in dispute resolution by representing banks and insurance companies in major and complex disputes. Since 2015, she has leveraged her dispute resolution expertise and cross-jurisdictional practice capability by designing cross-border transaction structures in large restructuring and M&A cases and has drawn on her rich experience in resolution on various types of disputes over equity, creditor's right disputes, security, guarantee, construction, labor and in enforcement procedure such as asset preservation and mandatory enforcement. She serves as member of bankruptcy administrator appointed by the court or administrator's legal counsel in different cases, or is engaged by the shareholders, investors or creditors to realize debt reduction, equity reorganization, debt recovery, asset reorganization, M&A and other different aims by means of litigation, arbitration and negotiation.

Bankruptcy Reorganization
Acted as core member of the joint administrator team in the bankruptcy reorganization case of Yuhang Financial Holding, involving debts of approximately CNY 5 billion, the first case of bankruptcy reorganization of a state-owned financial holding platform company in China
Acted as core member of the joint administrator team in Zhoushan Haozhou Group and its 11 affiliated companies case, which was awarded 2019 Zhejiang Top 10 Typical Bankruptcy Cases, Zhejiang Provincial Bankruptcy Administrators Association 2019 Top 10 Outstanding Duty Performance Cases
Acted as legal adviser to the administrator in Shandong Quanlin Group and 22 affiliated companies merger bankruptcy reorganization case, which was evaluated as one of the top ten typical cases of bankruptcy trial in Shandong Province in 2021
Acted as legal advisor to the administrator in the bankruptcy reorganization of Fengli Group and its 28 affiliates, dealing with debts of over USD 14 billion, and winning the "2016 Outstanding Transaction" award of Business Law
Acted as an investor's advisor, designed a feasible investment plan in the bankruptcy reorganization case of Jiangsu Akcome Industrial Group Co., Ltd. (a listed company, Akcome Technology 002610), and efficiently connected the bankruptcy reorganization process with the pre-reorganization process, which was rapidly completed in only four months
Acted as legal counsel to the largest creditor and as a member of the creditors' committee in the bankruptcy and reorganization case of Tianhai Defense (300008), a listed company, and pushed forward the formation of a reorganization plan to help the client ultimately obtain a satisfactory return in the form of shares
Bankruptcy Derivative Litigation
Represented Shanghai Xintai International Trade Co., Ltd. in the case of Singapore Lai Bao, representing the insolvent debtor in defending the recognition and enforcement of an award made by the Singapore International Arbitration Center (SIAC) filed by Lai Bao International Pte Ltd. to the Shanghai Court, which was the first time that the Shanghai Court ruled that foreign arbitral awards should not be recognized and enforced
Represented a related shipowner, time charterer and voyage charterer of the insolvent debtor, Fung Lap, in cooperation with a foreign law firm, in filing a claim against the cargo side in relation to the arrest of Fung Lap No. 1 in an Indian port due to the falsification of the cargo side's bill of lading, involving various judicial proceedings in India, Hong Kong, Singapore and the Mainland, and was ultimately awarded a compensation of USD 1.88 million.
Represented the interests of a shareholding platform held by domestic creditors, she cooperated with Zhonglun's Hong Kong office to fight against a single creditor attempting to take enforcement measures against the debtor's assets in Hong Kong, so as to safeguard the fairness of compensation for both domestic and foreign creditors
Cross-border distressed asset investment business
Represented the investment platform set up by a well-known US dollar fund in China in a number of significant and complex non-performing asset investment projects in China
Represented a client in acquiring a secured claim from a financial institution, restructuring the claim and introducing an industrial investor with construction and development capabilities, which involved domestic real estate mortgages, Hong Kong shareholders' equity pledges, domestic enforcement proceedings, settlement proceedings, debt restructuring and asset restructuring in an old city renovation project in Shenzhen
Represented the client in the acquisition of financial claims secured by properties and realizing repayment after debt restructuring in a real estate project in Hainan
Assisted the client in providing financial support to a well-known data operator by acquiring two secured financial debentures, restructuring the debt to facilitate its listing in Hong Kong and retaining the preferential share subscription rights for the client in the capitalization process in a data center project
Represented the client in the cumulative acquisition of nearly 1,000 non-performing individual mortgage claims from financial institutions, helped the client complete the restructuring of the asset package on the basis of resolving the issues of foreign investment access compliance, personal information protection law compliance, collection compliance and debt transfer notification compliance, and designed a structured income plan to introduce mezzanine-level investors and subordinated disposers in Acquisition of individual mortgage claims
Engaged by the Hong Kong provisional liquidator of Hong Kong listed company China Yuanchang (00155HK) to acquire two photovoltaic power plants in Xinjiang and Gansu, complete asset restructuring and assist its resumption of trading in Hong Kong in asset merger and acquisition of China Yuanchang (00155HK)
Engaged by a large state-owned enterprise, which is the largest creditor in China, and cooperated with a New York attorney in the U.S., to secure the key supplier status for our Chinese client under the U.S. bankruptcy proceedings, to ensure that our client's claims would be paid first in the U.S. bankruptcy proceedings, and then continued to represent our client in the acquisition of Sun Edison's bankruptcy properties in China in the subsequent asset disposal stage in the SunEdison bankruptcy case
