Qiang XIAO

Mr. Xiao Qiang's primary practice areas are securities compliance, securities litigation, securities-related crimes, and corporate disputes.

He has handled dozens of securities-compliance matters involving fraudulent disclosure, insider trading, market manipulation, and illegal share sales or purchases, including the first administrative-penalty case under the revised Securities Law for unlawful share reduction—a landmark with industry-wide impact. Mr. Xiao is highly experienced in risk containment and crisis management, offering end-to-end services that span preliminary regulatory inquiries, formal investigations, administrative hearings, administrative appeals, and criminal defence.

Mr. Xiao has represented more than ten listed companies, as well as brokerages and accounting firms, in civil and arbitration proceedings brought by investors for misrepresentation in securities offerings. Among these engagements is the nation’s first representative action for bond disputes; several of the cases have been listed among the Top 10 Commercial Cases of Chinese courts or named "Deal of the Year" by China Business Law Journal. In the majority of these matters, his clients obtained complete exoneration or a substantial reduction in damages.

He has also acted in a series of high-stakes control contests involving listed companies and conglomerates, and in complex corporate litigation arising from valuation-adjustment (VAM) clauses, validity of corporate resolutions, equity transfers, and claims for corporate oppression.
