David Xu has extensive experiences in equity investments, corporate finance and M&A, and specializes on cross-border transactions. Mr. Xu has actively represented various investment funds and Start-Ups in different fields. He is widely experienced and has an in-depth understanding on structuring, corporate governance, and equity incentives, etc. Besides, Mr. Xu handled various cross-border M&A, investment and financing related disputes for clients. With that as a basis he shows the quality to review transactions from a controversial perspective and minimize disputes beforehand.

  • Represented well-known investors and start-ups in a number of private equity and venture capital transactions, for example, Insta360 Series A, B and C, Soccer World Series A and B, Tong Ban Jie Series A financing, DianPing financings, Secoo Series C and D financing, Miss Candy A financing, Teambition Series A financing, QingTing FM Series A financing, ZhongCaiHui Series A, B and C financing, and Chukong Series E financing, etc.

  • Represented Motphys, Xijie Zhachuan, Lingque, Houmo.AI and HiBO in Financing

  • Represented Caixin Global in exiting ISI

  • Represented a top PE fund in its investment in Zhihu

  • Represented Baidu Venture in its investment in Saphlux, Inc.


Mergers and Acquisitions

  • Represented a world leading Japanese pharmaceutical company in the acquisition deal to acquire the pharmaceutical license, assisted in the establishment of an investment company as a regional headquarters, and participated in organizational restructuring.

  • Represented a world leading multinational pharmaceutical company, in its absorption, merger, reorganization and restructuring of its business model change in China.

  • Represented a world-leading American instrument and pharmaceutical biotechnology company in the establishment of a biopharmaceutical CDMO joint venture in China and assisted in legal matters related to the construction and leasing of the plant with the joint venture.

  • Represented a well-known multinational company in the sale of its major real estate.Represented Dolphin Browser’s parent company and Sohu Changyou in its restructuring of ordinary shares and preferred shares, acquisitions and a convertible bond issuance;

  • Represented an investment group in its acquisition of preferred shares and common shares of an education group consisting of more than 10 universities;

  • Represented an investment group in its acquisition of an A-share listed company as well as exits by strategic investors;

  • Represented a mobile Internet company in its merger by an A-share listed company and the share/asset purchase, fund raising, PIPE financing and associated transactions;

  • Represented an outstanding cross-board pharmaceutical enterprise in its acquisition of the Chinese pharmaceutical business of another international group;

  • Represented Telstra in its sale of LMobile;

  • Represented Qantas in its sale of DPEX’s China operations;


Fund Formation

  • Represented a well-known international asset management company in its structuring and contemplated establishment of QFLP RMB fund;

  • Represented a Chinese asset management company to complete establishment of a QFLP RMB fund manager and provide advice on matters relating to the establishment of RMB fund;

  • Represented a number of leading private equity and venture capital funds to complete establishment of a number of Cayman Islands seated funds;

  • Provided legal advice on matters relating to RMB funds and offshore US Dollar funds, umbrella fund establishment for a Chinese asset management company;


Dispute Resolution

  • Advised a world leading IT consultancy company in more than ten disputes with a large state-owned enterprise on dispute resolution strategy and procedural matters;

  • Advised a world leading steel group in its enforcement of a foreign arbitral award in China;

  • Advised a world leading architectural design service provider in its winning arbitration on an architectural design contract arbitration dispute with a real estate developer in China;

  • Represented an internationally renowned food processing infant milk powder supplier in its settlement negotiations with the Chinese government authorities and dealers;

  • Advised an Australia well-known energy company in its winning lawsuit against its Zhejiang joint venture partner in a joint venture dispute;

  • Represented a leading Australian machinery maker in its settlement negotiations with a processing trade service supplier in Jiangsu province.
