Zhong Lun Wins the ITR Asia-Pacific Tax Awards 2023 Impact Deal of the Year
The International Tax Review (ITR) has announced the winners of the ITR Asia-Pacific Tax Awards 2023. Zhong Lun took home the award of the “Impact Deal of the Year" for its work in the project “Tims China reverse de-SPAC".
On September 28, 2022, TH International Limited (Tims China), the exclusive operator of Tim Hortons coffee shops in China, announced the completion of its merger with Silver Crest Acquisition Corporation (stock code: SLCR). The combined company will continue to use the TH International name, and the shares has been traded on Nasdaq under the symbol “THCH" starting September 29, 2022. Tims China was initially valued at about USD 1.4 billion in the transaction and received nearly USD 200 million in additional financing.
As Silver Crest’s PRC legal counsel, Zhong Lun provided professional and efficient Chinese legal services for the transaction, including conducting Chinese legal due diligence on the target company, reviewing transaction documents, providing Chinese legal advice and legal analysis on restructuring and data compliance as well as assisting in the closing of the project, winning recognition of the clients and other intermediaries.
The Zhong Lun team was headed by partners Anthony ZHAO and Luke ZHANG and included associates Xiaoyan Yuan, Yuning Zheng and Xiaoyue Cao. Lihong Yang also assisted with this project.
