Zhong Lun Advises on Reorganization of Chongqing Dongyuan Industry Development Co., Ltd.

The China Securities Regulatory Commission (CSRC) has conditionally approved reorganization of Chongqing Dongyuan Industry Development Co., Ltd. on November 30, 2009.

Under the reorganization plan, Chongqing Jinke Industrial (Group) Co., Ltd. which is engaged in real estate development and infrastructure construction, will purchase up to 921 million A-shares for RMB 5.18 apiece or RMB 4.77 billion in total in Chongqing Dongyuan Industry Development Co., Ltd.

Zhong Lun Law Firm acted as legal counsel for Chongqing Jinke Industrial (Group) Co., Ltd. Professionals included associates Xu Zhigang, Chen Xiaoming and Huang Zeming, partner Anthony Qiao and associate Chen Xiao from Shanghai office, associates Li Qinglin and Xu Wenjin from Shenzhen office. Essence Securities Co., Ltd. acted as the reorganization’s independent financial advisor.

Chongqing Dongyuan Industry Development Co., Ltd. is principally engaged in the provision of designing, trading and leasing services and is also involved in the development of real estate and management of properties.
