Zhong Lun Hong Kong Office advised on Alpha Animation’s acquisition of Pleasant Goat and Big Big Wolf brand
On 16 September 2013, Guangdong Alpha Animation and Culture Company Limited ("Alpha Animation") (a listed company on the Shenzhen Stock Exchange (stock code: 002292)) entered into an agreement with Imagi International Holdings Limited (a listed company on the Hong Kong Stock Exchange) to acquire the entire share capital of Infoport Management Limited ("Infoport") and its related operations (Pleasant Goat and Big Big Wolf brand – being the number 1 cartoon brand in the PRC) for an aggregate consideration of HK$680,000,000 in cash. As the Hong Kong legal advisor of Alpha Animation, Zhong Lun Hong Kong’s team, led by partners Roger Ho and Henry Lau and assisted by senior associate Stephen Wong and associate Shirley Chan, provided legal services regarding the offshore aspect of the deal.
The Infoport group is principally engaged in contents development and distribution in television, movies and other media and licensing and management of cartoon character trademarks and copyrights. It is the sole registered owner of one of the most popular brands in the PRC animation industry: “Pleasant Goat and Big Big Wolf". It has been partnering with Disney Enterprises, Inc. to strengthen the brand position through consumer product licensing.
