Zhong Lun Advises Tsinghua Unigroup in Connection with the Closing of Its Acquisition of New H3C
May 5, 2016, Unisplendour Corporation (“UNIS"), an A-share listed company (SZSE:000938) and subsidiary of Tsinghua Unigroup, announced the completion of the acquisition of 51% shares of H3C Technologies Co., Limited (“New H3C") from Hewlett-Packard Enterprise (NYSE:HPE), at a total price of approximately $2.5 billion.
Consisting of Hangzhou H3C Technologies Co., Ltd. (“Hangzhou H3C") and Unis Huashan Technology Co., Ltd. (“Unis Huashan"), the New H3C is a prestigious leader of the new IT solutions in the world. Hangzhou H3C has owned the largest market share in the China’s enterprise network market for the past 5 years, and also has the largest market share in the China’s enterprise WLAN market and the second in the global enterprise network market for the past 7 years. Unis Huashan is a newly-established entity to operate the HPE’s server, storage, and technology services business in China.
Starting from the kick-off meeting in December 2014, through the execution of the definitive transactional documents with HPE on May 21, 2015 after multiple rounds of intensive bidding, until the completion of the transaction finally in May 2016, the project lasted for more than 500 days in total. Acting as the PRC legal counsel of UNIS on this project, Zhong Lun Law Firm has provided comprehensive and in-depth legal services for UNIS on important deal issues, including particularly the formation of bidding strategy, the use of A-share listed company to implement the cross-border acquisition, the negotiation of transaction documents, the handling of PRC and foreign regulatory procedures, the structuring of an innovative employee equity plan to provide A-share special incentives
