Zhong Lun Advises Chemchina In The Acquisition Of Kraussmaffei Group
On January 11, 2016, China National Chemical Corporation (“ChemChina") announced its acquisition of the global leading plastics and rubber processing machinery manufacturer KraussMaffei Group from Onex Corporation ("Onex") for EUR925 million. This transaction is the largest investment/acquisition in Germany by a Chinese company to date. ChemChina has formed a consortium with Guoxin International Investment Corporation and AGIC Capital for this acquisition. This transaction has been successfully closed several months ago.
As the PRC legal counsel of the acquirer for this transaction, Zhong Lun Law Firm advised ChemChina on many issues regarding Chinese laws and Hong Kong laws, including legal due diligence, transaction documents, financing, antitrust review and communications with governing authorities of the PRC.
