Zhong Lun represented Ascendent Capital on Tarena’s Privatization

On April 30, 2021, Tarena International, Inc. (Nasdaq: TEDU), a leading provider of professional education and K-12 education services in China, announced that it has entered into an Agreement and Plan of Merger in connection with a transaction to privatize Tarena by the buyer group, implying an equity value of the Company of approximately US$230.6 million. The buyer group consists of Ascendent Capital (as the sponsor to fund the merger consideration) and Mr. Han Shaoyun (Tarena’s chairman).

Zhong Lun Law Firm acted as the PRC legal counsel to Ascendent Capital. The legal team from Zhong Lun was led by Anthony Zhao and Luke Zhang, and included Jason Zhan, Jorah Zhou， etc.; Frank Jiang provided legal support on anti-trust matters.
