Frank JIANG

Frank specializes in antitrust/competition (including merger control, unilateral and joint conducts), national security review, and M&A, and has worked on over 120 mandates in a variety of industries, including aerospace, automobile, chemistry, energy, engineering, FMCG, healthcare, ICT, real estate, etc. His clients include Arm, Baowu, CHD, CNPC, CTG, Cummins, DNE, EDF, EssilorLuxottica, IBM, Mercedes-Benz, Microsoft, NHU, Parker-Hannifin, Qualcomm, Schneider Electric, Tencent, Walmart, and Warburg Pincus.

Frank has been the lead competition lawyer in a number of high-profile investigation/litigation, mergers & acquisitions, and joint venture projects, is responsible for coordinating domestic and international teams, producing documents, and communicating with relevant regulatory authorities and has maintained good cooperative relationships with lawyers from a number of well-known foreign law firms.

He has written dozens of articles and publications in the field of compliance, and actively participated in relevant legislative activities organized by law enforcement agencies.

Antitrust/Competition and Regulatory Compliance

  • Represented a number of multinationals and leading companies in more than ten antitrust enforcements or litigations in automobile, consumer, ICT and manufacturing sectors in China and beyond, with billions of dollars at stake

  • Represented a number of manufacturing and platform firms in dealing with onsite investigation and compliance programs, involving such sectors as automobile, cloud computing, e-commerce, gaming, healthcare, social networking, transportation, etc.

  • Represented a number of SOEs and listed companies in compliance programs of their global business, covering antitrust, FDI screening (national security review), blocking rules and anti-foreign sanctions, ESG, and other regulatory issues

  • Provided legal services for a number of transactions involving foreign investment security review in China (incl. conditional clearance and prohibition)

  • Provided legal services for a number of antitrust projects

  • Advised Walmart on various antitrust and M&A projects

  • Advised Tencent on compliance assessment in dozens of transactions

  • Represented Luxottica Group in its merger with Essilor International, and implementation of commitments it made to the Chinese authority (the first of its kind since inception of SAMR)

  • Represented Yum! China on its joint venture with a leading Chinese AI technology company (the first unconditionally-cleared deal involving VIE structure)

  • Represented Bombardier in its sale of transportation business to Alstom

  • Represented Parker-Hannifin Corporation in its acquisition of LORD Corporation

  • Provided legal services to Électricité de France for several offshore joint ventures projects

  • Provided legal services to Schneider Electric for its joint acquisition (with Alstom) of Areva T&D and its acquisition of Leader & Harvest
