Henry H. JI

Henry Ji has nearly 15 years of experience in the legal profession and is qualified to practice law in both China and the State of New York, U.S. Before joining Zhong Lun, Henry worked for many years in the cross-border mergers and acquisitions and tax advisory departments of an international law firm and a Big Four accounting firm. He is among the very few lawyers in China capable of comprehensively advising ultra-high-net-worth families on private wealth planning and family wealth succession. For consecutive years, Henry has been recognized by leading international rating institutions in the fields of private wealth management, taxation, and compliance. He is highly regarded in the industry for his "dedication and sense of responsibility," "prompt responsiveness to client needs," "ability to navigate complex multi-jurisdictional matters," and for delivering "innovative and practical solutions within the legal framework."

In private wealth planning, Henry is deeply trusted by private clients and is frequently entrusted with significant responsibilities. He has successfully represented dozens of ultra-high-net-worth individuals in sectors such as the new economy, artificial intelligence, real estate, and manufacturing, as well as top international and Chinese private banks, trust companies, insurance companies, and family offices.

His cross-jurisdictional expertise covers family trusts, charitable trusts, foundations and family office establishment and maintenance, personal tax planning, identity planning, CRS reporting, family constitutions, cross-border wills and inheritance, and other matters relating to wealth planning and global asset protection.

In international taxation, Henry focuses on corporate tax planning and compliance, tax issues in mergers and acquisitions, and tax controversy matters. He provides advisory services on a wide range of cutting-edge tax matters. Henry has advised several hundred multinational enterprises on corporate income tax, transfer pricing, and international tax compliance; designed optimal tax-efficient investment and holding structures; and assisted management in building comprehensive intra-group transfer pricing and tax compliance systems. On the contentious front, Henry has participated in and successfully resolved dozens of tax audits and transfer pricing defense cases. He skillfully integrates technical and commercial considerations in communication with tax authorities to secure optimal tax benefits and satisfactory results for his clients.

In investment, mergers and acquisitions, and corporate governance, Henry has advised numerous Fortune 500 companies on inbound and outbound investments, general corporate advisory, and data privacy and protection matters. He has represented many domestic and international listed companies and investment funds in a variety of transactions, including corporate financing, establishment and restructuring of cross-border red-chip structures, equity incentive plans, foreign exchange registration under Circular 37, ODI filings, strategic investments, and investment exits.

In philanthropy and nonprofit organizations, Henry is passionate about providing strategic philanthropy and impact investment advice to UN agencies, nonprofit organizations, and global philanthropists. He has served as an expert consultant on multiple legislative and policy research projects for the Ministry of Civil Affairs and other government bodies, and is widely recognized as a leading advisor in philanthropy law. He has helped over one hundred leading international and domestic corporate and family foundations, industry associations, think tanks, and donors understand both the Chinese and international legal environments, addressing complex frontier legal and tax issues—including structuring, entity establishment, data compliance, fundraising, donations, regulator communications, tax incentive applications, due diligence, governance, and internal compliance investigations—to ensure projects operate in full legal compliance. The cross-border nonprofit projects Henry has managed, participated in, or supported have collectively reached a scale of several tens of billions of RMB in charitable investments and donations, covering global health and public health, education, low-carbon environmental protection, and basic scientific research.

Henry has published numerous professional articles and books. Recently, he co-authored Management and Succession of Intergenerational Family Wealth, published by Tsinghua University Press—a comprehensive legal work on the theory and practice of private wealth planning. The book was named one of the "Top Ten Most Popular Financial Books of the Year" and was highly acclaimed by readers. He also contributed to the drafting and publication of China Charitable Tax Operation Guidelines, edited by the Central University of Finance and Economics—the first professional handbook in China focusing on charitable taxation, providing authoritative guidance for philanthropic entities on the application of charitable tax policies. In addition, his article Key Points on Tax Planning for Chinese Enterprises' Overseas Investments (by Country) was selected by the National Development and Reform Commission and the Ministry of Commerce as training material for senior government officials and executives of major Chinese enterprises.

Henry is frequently invited to lecture at leading universities including Peking University, Tsinghua University School of Economics and Management, Renmin University of China, China University of Political Science and Law, Central Academy of Fine Arts, Fudan University, Georgetown University, University of Washington (Seattle), and Nanyang Technological University (Singapore). He is also a regular speaker at major international conferences such as the Society of Trust and Estate Practitioners (STEP), the Wealth Management Institute (WMI) in Singapore, the Asia Venture Philanthropy Network (AVPN), the Hubbis Wealth Management Forum, and the Shanghai Lujiazui Forum, delivering insights on cross-border investment, private wealth, international tax law, and nonprofit organization law.

Henry serves as a special legal expert for the China Going Global Think Tank and the CECG Think Tank. He is also the national correspondent for the International Bureau of Fiscal Documentation (IBFD) and the Tax Committee of the International Bar Association (IBA).
