Yan LIU
Laura Liu, focusing on the fields of fund formation, fund compliance, PE/VC investment and M&A sector, has participated in the establishment of many influential "benchmark" investment funds. Ms Liu has extensive experience relating to the Co-GP Structure, Feeder-Master Fund, Parallel Fund, S Fund transactions arrangements and Real Estate funds. Ms Liu has advised top tier domestic and overseas fund managers, government guidance fund and other different types of clients on the formation and investment of varies types of private funds.
In PE/VC investment and M&A sector, Ms Liu has been the lead counsel and provided full-process legal services for the investment or financing of multiple famous private equity funds and prominent enterprises across a wide array of fields such as consumer industry, TMT, medicine and health, and high-end manufacturing.
Representative Matters
Acted as lead counsel to National Green Development fund throughout the fund compliance and sub-fund investment.
Acted as lead counsel to Cathay Capital throughout the formation of the first domestic new energy infrastructure fund in cooperation with the industry and insurance companies.
Provided legal services to Gaolu Phase I Industrial Logistics RMB Fund throughout the fund formation and asset acquisition.
Provided legal services to Fortera Capital/Shanghai State-owned Capital Fund for the sub-fund investment projects.
Provided legal services to CapitaLand Investment throughout the formation of its China Industrial Park RMB Fund III.
Provided legal services to CICC throughout the fund formation and sub-fund investment projects.
