Mr. Haibo Li joined Zhong Lun Law Firm in 2013. During his tenure in Zhong Lun, he has primarily focused on corporate operations, real estate investment and M&A transactions, and dispute resolution, accumulating extensive experience across these practice areas. Mr. Li advises a broad range of clients, including overseas real estate funds and professional investment institutions such as Keppel Capital, Nan Fung Group, and LaSalle Investment; well-known domestic real estate investment funds and development entities such as Joy City Real Estate, Cofco Real Estate, and Gao He Capital; and other institutions related to real estate investment, such as Yuanzu Food and Nenking Group. His diverse client base has enabled him to develop a strong understanding of the needs and priorities of different types of institutions, allowing him to provide practical, tailored legal solutions across a wide range of matters.

Representative Matters

  • Represented Hong Kong NanFung Group in the acquisition of Shanghai BM lntercontinental Center, and advised on the early stage development, renovation, and subsequent leasing of the project, providing ongoing legal advisory services

  • Represented Hong Kong NanFung Group in the acquisition of Wuxi Mashan Lingsheng Villa Development Project

  • Represented Hong Kong NanFung Group in the acquisition of the No. 49 plot project of Wuxi Citizen Square (namely “Wuxi Nanfeng Hui” urban complex Project located in Taihu Square, Wuxi) through overseas enterprises

  • Provided PRC legal due diligence services to Hong Kong NanFung Group for its acquisition of the Chengdu Fuxing Street project

  • Provided end-to-end legal services to Hong Kong NanFung Group to for its investment in and development of the Guangdong Foshan New City project, as well as the subsequent distribution and exit arrangements for related projects

  • Provided full-process legal services, including legal due diligence and preparation of transaction documents, to SOHO China Co., Ltd. for 48.48% equity transaction of Shanghai Luwan District No. 43 neighborhood project

  • Provided full-process legal services, including legal due diligence and preparation of transaction documents, to SOHO China Co., Ltd. in connection with its indirect acquisition of Block 204 of Shanghai Bund through offshore equity M&A transaction

  • Provided full-process legal services, including due diligence and preparation of transaction documents, to JILIN Group in connection with its acquisition of Shanghai Xuhui Century Plaza, Shanghai Rui'an Square, Securities Building, and some floor projects of Shanghai Tian'an Center through offshore equity M&A transactions, as well as for the subsequent transfer of related properties and projects

  • Represented ARCH Capital Management Co., Ltd. in its investment in Guangdong Foshan Yicui Hongjing real estate development project through an equity acquisition and capital increase

  • Advised Alpha Asia Macro Trends Fund Private Limited, a real estate investment fund, on its investment in, holding of, and exit from the Shanghai Jinan Road 9 project, and provided PRC legal due diligence services

  • Advised COFCO Real Estate on its acquisition of several domestic mixed-use real estate projects from Intime Group, and provided PRC legal due diligence services

  • Advised Huarong International Trust on its acquisition of multiple mixed-use real estate projects from Kaisa in China, and provided PRC legal due diligence services

  • Advised a large central state-owned enterprise on the acquisition of commercial offices and residential real estate projects, including villas, in Shanghai, Nanjing, and other cities, providing full-scope legal services such as transaction structuring, legal due diligence, and preparation of transaction documents

  • Advised COFCO Joy City Real Estate Co., Ltd., on the acquisition of the Shanghai Putuo District Changscenic Plaza project, which marked the launch of its second Joy City project in Shanghai, providing legal services including due diligence and preparation of transaction documents

  • Advised Beijing Investment Development on its acquisition of the Shanghai Ziyuan Villa project, including the provision of PRC legal due diligence services

  • Advised Gao He Fund on Shanghai Sun City, a commercial office complex, Yinqiao Apartment, Gao He Yunfeng in Yangpu, and other real estate M&A projects, providing full-scope legal services such as transaction structuring, legal due diligence, and preparation of transaction documents

  • Advised Zhongrong Trust in connection with its acquisition of, and subsequent exit from, the Beijing East Fourth Ring Hotel Project, providing full-scope legal services such as transaction structuring, legal due diligence, and preparation of transaction documents

  • Advised clients on the acquisition of, and subsequent exit from, an entire residential project on South Shaanxi Road, Shanghai, providing full-scope legal services such as transaction structuring, legal due diligence, and preparation of transaction documents

  • Provided clients with end-to-end legal support in connection with the preliminary development and subsequent sales of Greentown Huangpu Bay, a landmark luxury housing project developed by Greentown Group in Shanghai

  • Advised LaSalle Capital on its acquisition of the Pudong Wujiefang commercial project and related fund transaction arrangements, providing full-process legal services such as transaction structuring, legal due diligence, and preparation of transaction documents

  • Provided end-to-end legal support in connection with the preliminary development and subsequent operation of Yuanzu Dream World, a commercial complex project developed by Yuanzu Group in Shanghai
