Sissi LIU

Ms. Liu obtained her lawyer's practicing certificate in 2013 and has since specialized in administrative litigation and large-scale civil and commercial dispute resolution. She has represented many government agencies, listed companies, state-owned enterprises, and multinational corporations in high-stakes disputes, spanning administrative litigation and reconsideration, land-related government cases, collective asset supervision and management, and municipal engineering projects, as well as listed companies’ securities misrepresentation claims and cross-border investment disputes. She has a proven track record of helping governments and enterprises recover losses and mitigate adverse consequences.

Drawing on her extensive experience as a legal consultant to public sector clients, Ms. Liu has developed deep expertise in government administrative supervision procedures, policies, regulations, and law enforcement standards. She excels at helping government departments prevent administrative risks, formalize administrative conduct, resolve administrative disputes, and exercise administrative power in compliance with law, providing strategic legal support for informed decision-making and lawful governance.

As counsel to pre-IPO companies, tapping her wealth of hands-on experience, Ms. Liu offers comprehensive, end-to-end legal services, including equity restructuring, equity incentive plans, compliance rectification, document drafting, materials review, and pre-IPO financing support. For listed companies, she provides ongoing compliance oversight, covering both routine and special matters, such as information disclosure and connected-party transactions, effectively safeguarding clients against legal risks in capital markets.

In respect of Hong Kong and overseas capital market matters, Ms. Liu has advised on numerous overseas listings, cross-border M&A, and other investment projects.
