Xin SHEN

Ms. Shen advises public and private multinational companies on a wide range of issues, including mergers and acquisitions, foreign direct investment, corporate governance, contracts, labor, foreign trade, and compliance. She has also assisted Chinese clients in investing overseas and provided legal services to clients across various industries, including manufacturing, consumer products, chemicals, medical devices, and technology.

Representative Matters

  • Represented Imerys in its (i) acquisition from Luxin Group of a majority stake in Shandong Luxin Mount Tai Co., Ltd. and the related joint venture project; (ii) acquisition from Hanye Group of Zhejiang Zr-Valley Sciences & Technology Co., Ltd.; (iii) proposed acquisition of a NEEQ company; and (iv) divesture of certain business in China

  • Represented A Taiwanese family in its sale of a PRC leading medical device provider to a Taiwan PE firm

  • Acted as APAC counsel for the sale of its dental digital business to funds managed by CD&R and CareCapital

  • Represented Zhejiang Yinlun in its acquisition of Thermal Dynamics LLC

  • Represented OSI Group in several projects concerning the restructuring, sale or acquisition of assets and business

  • Represented S.C. Johnson in its buyout of a minority stake in  Jiangsu Johnson Tongda Ltd.

  • Represented Owens Corning in several strategic alliance projects with domestic companies, including long-term supply agreement and technology licensing agreement

  • Represented a number of foreign invested companies and domestic companies in their daily legal affairs and provided legal advice regarding industries such as manufacturing, medical devices, semiconductors, trade, technology, and software.
