Stacey Shen

Stacey is a non-equity partner in the Hong Kong office of Zhong Lun Law Firm. Her experience includes representing global and Asia-based private equity sponsors and their portfolio companies, and other financial and strategic investors in connection with their transactions across Asia and globally, particularly those with a China nexus. Her practice focuses on mergers and acquisitions, including acquisitions and divestitures, leveraged buyouts, preferred equity investments and joint ventures. Prior to joining Zhong Lun Law Firm, Stacey has worked at leading international firms in their Hong Kong, Beijing and Tokyo offices for over a decade.

  • Represented Bain Capital in its minority investment in EcoCeres, Inc., an advanced biorefinery platform with operations in China and Malaysia and a subsidiary of The Hong Kong and China Gas Company Limited (Towngas) (HKSE: 0003)

  • Represented Bain Capital in its strategic investment in Avistone Pharmaceutical, a clinical-stage biotechnology company focused on precision oncology therapeutics

  • Represented Tongda Group Holdings Limited (HKSE: 698) in a very substantial disposal (VSD) of its business to Singapore-based private equity firm Novo Tellus

  • Represented Centurium Capital on its original investment and subsequent transactions involving Luckin Coffee (LKNCY), a leading Chinese coffee chain

  • Represented Warburg Pincus in its investment in Zhuhai Wanda Commercial Management, Dalian Wanda Group's commercial property management unit

  • Represented Sequoia China Infrastructure Fund in its investment in GDS Holdings Limited (NASDAQ: GDS; HKSE: 9698) through the purchase of US$200 million 0.25% convertible senior notes due 2029

  • Represented Oaktree Capital Management in its cornerstone investment in the listings of S.F. Holding Co., Ltd., China Resources Beverage (Holdings) Company Limited and China Tourism Group Duty Free Corporation on the Hong Kong Stock Exchange

  • Represented Oaktree Capital Management in its cornerstone investment in Thai Life Insurance's THB37.1 billion (approximately $1 billion) listing on the Stock Exchange of Thailand

  • Represented Advent International in its acquisition of Serta China and subsequent consolidation with King Koil China and formation of AI Dream, a leading branded sleep solution provider in China

  • Represented Hillhouse Capital in its investment in LifeStyles and MicroPort CRM

  • Represented EQT Partners and its portfolio company GPA Global, on GPA Global's bolt-on acquisition of Hub Folding Box, a printing and packaging company in the U.S.

  • Represented Icon Group, a portfolio company of Goldman Sachs Principal Investment Area, in its acquisition of Hong Kong-based oncology clinic SunTech Medical Group

  • Represented CITIC Agri Fund Management Co., Limited in its acquisition of the Brazilian corn seed business from The Dow Chemical Company for approximately US$1.1 billion

  • Represented China CITIC Bank Corporation Limited, and certain coinvestor, on their acquisition of an aggregate of 60% stake in JSC "Altyn Bank" from JSC "Halyk Bank", a leading financial services group in the Republic of Kazakhstan

  • Represented COFCO International Limited, a subsidiary of COFCO Corporation, on its strategic partnership with a consortium of international financial investors in providing equity funding for the acquisition of 49% equity interest in Nidera Capital B.V. from Cygne B.V (in 2017) and 49% equity interest in Noble Agri Limited from Noble Group (in 2016)

  • Represented COFCO Group on the investments by China Investment Corporation (in 2015 and 2017) in COFCO's international agribusiness platform
