Hailan XIAN

Ms. Xian is a PRC-qualified lawyer with a wide range of experience in providing legal services for many famous multinational and domestic enterprises in different fields, such as M&A, foreign investment, labor and personnel, corporate compliance and corporate de-registration.
With respect to foreign investment, M&A and re-organization, she has independently undertaken or taken the lead in a series of transaction projects on a large scale and has participated in projects such as setting up joint ventures (including new establishment and M&A), corporate merger and acquisition, etc. in China on behalf of many well-known offshore and domestic enterprises. With respect to corporate compliance, she has provided legal services for many multinational enterprises on corporate internal compliance, including anti-commercial-bribery, anti-monopoly, data compliance, etc. With respect to labor and personnel, apart from daily legal advice, she has also provided a full range of legal services for several enterprises in the project of economic dismissal and personnel placement in the process of corporate liquidation.

Foreign investment and M&A

  • Assisted Toyota Tsusho in the legal due diligence of an energy group in Shanghai and its subsidiaries

  • Assisted Toyota Tsusho in sale of equity in several of its subsidiaries

  • Participate in the merger and acquisition of Sony Electronics (Shenzhen) Co., Ltd. by Sony Logistics Trading (China) Co., Ltd.

  • Assisted KYOCERA to acquire the equity of a domestic company

  • Assisted Kuroda Group in sale of equity in its domestic subsidiary

  • Assisted Read in sale of its joint venture’s equity and technology

  • Assisted Marubeni Corporation to acquire shares in a state-owned enterprise by means of capital increase and share expansion

  • Assisted in the merger and absorption of two subsidiaries of Renesas Electronics Corporation

  • Assisted Mitsubishi Motors and Mitsubishi Commercial to establish joint ventures with a state-owned enterprise by means of merger and acquisition by share exchange, and foreign capital merger and acquisition

Corporate compliance and data compliance

  • Provided legal services for many multinational enterprises in terms of drafting legal documents regarding collection of user data, cross-border data transfer, individual privacy policy and user policy, and establishment of data compliance systems, and daily consultation regarding data compliance. Once provided comprehensive legal services for a domestic Internet healthcare company with regard to data compliance including review and improvement of cybersecurity compliance system. 


Labor and Personnel

  • Assisted many multinational enterprises in drafting and reviewing labor related documents (including employment contracts, labor contracts, dispatching agreements, non-competition agreements, employment rules, etc.). Provided legal services for many multinational enterprises in respect of social insurance, employee’s welfare, arrangement of employees in special positions, settlement of disputes among employees, etc.;

  • Provided comprehensive legal advice in economic dismissal projects, including dismissal plans, negotiation with employees and preparation of employment relationship termination; and employee placement during corporate liquidation and daily legal consultation regarding labor law.
