Haijun ZHANG

Mr. Zhang has been deeply engaged in the field of dispute resolution for more than fifteen years, and his practice covers entertainment law, construction and project development, debt restructuring and non-performing assets. Mr. Zhang is good at analyzing problems and providing legal solutions from multiple dimensions, such as legal specialty, industry characteristics and social effect, and is highly trusted by clients for his superb professionalism and good reputation.
As an investor and legal advisor, Mr. Zhang has been deeply involved in the whole process of film project approval, shooting, publicity, distribution to box office sharing, and participated in scriptwriting as a co-screenwriter, combining both deep industry deposits and keen legal insights.
To date, Mr. Zhang has successfully provided long-term legal counseling services, specialized legal services and dispute resolution services to more than 50 well-known domestic and international clients in the film and television, music, culture and sports industries, covering film and television investment, filming and distribution, performing brokerage, live performances (e.g., musicals, concerts), artist/anchor contract negotiation and termination, crisis PR, intellectual property disputes, sports event consulting, etc. Some of the well-known clients include Hong Kong artist Mr. Lau, Hong Kong director Mr. Qiu, Universe Entertainment and Culture Group Company Ltd., Sil-Metropole Organization Ltd., and China Film Co., Ltd. Moreover, Mr. Zhang has rich experience as a governmental legal advisor, and has participated as a team leader in national key construction projects such as the "2022 Beijing Winter Olympic Village Construction Project", "AIIB Headquarters Delivery Project", "Beijing Urban Sub-center Construction Project", "Olympic Center District" and other national ministries and agencies projects such as the National Development and Reform Commission (NDRC), the Ministry of Natural Resources (MNR) and the Ministry of Emergency Management (MEM) (Service Center for Agencies).

Representative Matters

Dispute Resolution Mandates

  • Represented a Beijing-based real estate company in a share transfer contract dispute case at the Beijing Arbitration Commission, with the disputed amount of approximately CNY 120 million (over CNY 3 billion in economic interests), which involved two arbitrations and ultimately resulted in the arbitration award of complete transfer of shares.

  • Represented a Hong Kong-based Chinese mainland investment company in an investment debt enforcement case at the Guangdong Zhuhai Intermediate People's Court, with the enforcement amount of approximately CNY 500 million, by auctioning pledged listed company shares, assisting the client in recovering investments to the greatest extent possible.

  • Represented Hong Kong artist Mr. Lau, in handling his infringement lawsuits across the country (copyright, portrait rights, reputation rights, etc.)

  • Represented a leading real estate enterprise in Handan, Hebei, defending itself against a construction central enterprise's construction general contract agreement dispute case at the Handan Intermediate People's Court and the Hebei Higher People's Court, with the disputed amount of approximately CNY 300 million. All parties submitted evidence exceeding 2,000 pages, and the legal team led by Mr. Zhang fully leveraged its experience advantages in the fields of engineering and dispute resolution, spending over three years, with the court ruling to dismiss the other party's 55% of the claims amount and force the other party to withdraw part of its claims. The final court successfully upheld the original judgment. Represented a venture capital company from Tibet, he appeared in an appeal case before the Supreme People's Court regarding the objection to an execution distribution plan, with the subject matter amounting to approximately CNY 50 million, and ultimately secured a favorable outcome.

  • Represented a Beijing-based investment company, he appeared in an arbitration case against Ningbo Investment Partnership Enterprise (Limited Partnership) regarding disputes arising from the capital increase agreement and the repurchase agreement, with the subject matter amounting to approximately CNY 300 million. Faced with severe adverse evidence, the legal team adopted a different approach, starting from a commercial perspective and undergoing multiple rounds of negotiations outside the arbitration procedure. Ultimately, we forced the other party to settle, achieving a highly satisfactory result to the client.

  • Represented a leading real estate enterprise from Langfang, Hebei, in a litigation case before the Langfang Intermediate People's Court regarding a dispute over cooperative development, with the subject matter amounting to approximately CNY 300 million. Ultimately, Mr. Zhang successfully facilitated a settlement and mediation of the case, achieving a satisfactory result for our client.

  • Represented a unicorn enterprise in the parking management industry, where Mr. Zhang initiated an investment agreement dispute before the Beijing Headquarters of the China International Economic and Trade Arbitration Commission (CIETAC), with the subject matter amounting to approximately CNY 11 million. Overcoming the difficulty in obtaining evidence, Mr. Zhang ultimately succeeded in recovering CNY 10 million for the client. As the legal representative of an investor from Shanxi Province, Mr. Zhang defended a client in a guarantee contract dispute case at a court in Beijing with a disputed amount of approximately CNY 29.5 million. In this case, the opposing party believed they would win easily, as the debtor had lost credibility, and the client, as a high net-worth individual, faced extremely high guarantee risks.  Mr. Zhang carefully reviewed the evidence chain. Mr. Zhang found a breakthrough in the critical guarantee contract from the perspective of evidence completeness, successfully forcing the opposing party to withdraw their lawsuit and recover CNY 29.5 million for the client.

  • As the legal representative of a buyer of a villa in Beijing, Mr. Zhang filed a lawsuit at a court in Beijing in a dispute over a house purchase contract, with the disputed amount of approximately CNY 50 million. He successfully assisted the client in winning the case and obtaining the ownership and occupation of the villa through the court's enforcement procedure.

  • As the legal representative of a 4S store sales company of an automobile brand in Sichuan Province, Mr. Zhang defended the client in a construction engineering contract dispute case at the Intermediate People's Court of Yibin, Sichuan Province. The client was a subsidiary of a listed company, and the opposing party was a local general contractor. This case set an example for the client of similar projects in Sichuan. After conducting legal representation and on-site evidence collection work, the court dismissed 75% of the opposing party's claims.

  • As the legal representative of a minority shareholder of a company that was planning to be listed in Shanxi Province, Mr. Zhang filed a lawsuit at a court in Taiyuan, Shanxi Province, in a dispute over the ownership and interests of the company and its affiliated enterprises, and the rights of minority shareholders being infringed. He successfully obtained a satisfactory result for the minority shareholder. As a representative of a Shanghai-based overseas engineering company, He filed a lawsuit on behalf of the company and its partner in a contract dispute over an energy project in the Cayman Islands, which was successfully settled.

  • As a representative of a listed company from Shandong Province, Mr. Zhang defended the client in a contract dispute over the supply of helium at the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing. The arbitration committee ultimately rejected 99% of the applicant's requested amount, achieving a much better result for the client than expected.

  • As a representative of a listed company from Shandong Province, Mr. Zhang defended the client in a contract dispute case at the Second Intermediate People's Court of Tianjin. He ultimately persuaded the appellate court to adopt my client's position and successfully overturned the first-instance court's ruling, winning the final ruling on the jurisdictional objection appeal.


Construction and Project Development Mandates

  • As the team leader, Mr. Zhang provided long-term legal advisory services to the Ministry of Natural Resources of the State.

  • As the team leader, Mr. Zhang provided specialized legal services for the construction of the 2022 Winter Olympics Village, the AIIB headquarters building handover project, the Baidu headquarters, and the Xunlei headquarters.

  • As the team leader, Mr. Zhang provided long-term legal advisory services to Longford Group and Oceanwide Group.

  • As the team leader, Mr. Zhang provided legal services for constructing data centers, office buildings and smart cities for Baidu nationwide for 15 consecutive years.

  • As the team leader, Mr. Zhang provided long-term legal advisory services to the Second Engineering Bureau of China State Construction Engineering Corporation for three consecutive years (2014-2016). He also provided legal services for the construction of the Xiaojiarhe Staff Housing Project for Peking University (over 900,000 square meters in floor area) for 15 consecutive years, including land acquisition, relocation and resettlement, administrative litigation, project commencement, and contract disputes throughout the entire process.


Debt Restructuring and Non-performing Assets

  • Represented Baidu in filing a series of lawsuits against Evergrande for overdue accounts at the Guangdong High Court and prepared claims filing.

  • Handled debt restructuring for Hong Kong New World's investment platform in the mainland.

  • Participated in a disposal project of real estate assets for Sinoocean Group.

  • Participated in the acquisition of non-performing asset packages for the Real Estate Fund under the Vanke Group.

  • Represented a Hong Kong client in handling the framework agreement for the production and performance of a classic musical drama involving Macau, Chengdu, Shanghai, and Singapore, negotiating content including production, revenue sharing, travel expenses, administrative permits for cultural and public security, and fire control, stage equipment clearance, insurance, venue facilities, ticketing, publicity, security, merchandise, copyright, shared investment, sponsorship, signature, dispute resolution, etc. Representing a client from Hong Kong in handling its dispute with a mainland client regarding a TV drama "Commissioned Production, Supervision and Operation Management Contract," including drafting and negotiating the contract.

  • Represented a well-known Hong Kong artist in handling his endorsement for an internationally renowned shampoo brand.

  • Represented a company from Shenzhen in assisting its acquisition of a performance trademark, including designing the front-and-backhand transaction and completing the trademark acquisition to eliminate intellectual property risks for the performance.

  • Represented a Hong Kong music company in assisting it with handling its digital music distribution agency agreement with a mainland institution.


Representative Mandates in Dispute Resolution Concerning Artists and Broadcasters

  • Represented the Chinese mainland artist Xiong in resolving disputes arising from his "exclusive strategic cooperation agreement" and "supplementary. agreement" with an MCN institution, achieved termination of the agreement and obtained unexpected compensation beyond expectations.

  • Represented the Chinese mainland artist Song in handling his "artist new media operation cooperation agreement" with an MCN institution.

  • Represented the Chinese mainland artist Xu in handling the termination of his "artist management contract" with his agency.

  • Represented a well-known artist in an arbitration case for terminating his contract with his agency.

  • Represented several agencies in handling disputes with their artists regarding the termination of their contracts.


Representative Mandates in the Field of Public Relations for Artists and Agencies

  • Represented a well-known Hong Kong artist, Mr. Lau, in assisting with handling the "advertising slogan plagiarism" crisis public relations event for his endorsement of an internationally renowned automobile brand.

  • Represented Hong Kong artist Lau, Mr. Li has filed lawsuits for portrait rights and reputation rights disputes in more than ten courts in the mainland and has won all the cases.

  • Handled portrait and reputation rights protection affairs for well-known entertainment artists in the Chinese mainland.

  • Assisted the production company in handling the roadshow event of its film at Peking University.

  • Handled public statement consultation for a Hong Kong entertainment company's artists.

  • Obtained a complete victory for Mr. Lau, a well-known Hong Kong artist, and others in a copyright proper ownership and infringement dispute filed by a party at the Beijing Intellectual Property Court (the disputed amount was approximately CNY 100 million).

  • Handled a film copyright transfer agreement for a Hong Kong company.

  • Handled a contract dispute case for an artist (Chen) under the name of a Beijing cultural media company and a Zhejiang cultural tourism limited liability company.

  • Handled a copyright issue between a company in the mainland and an investment institution regarding the film "Crazy Stone.".

  • Conducted a copyright compliance review for a specific script that the Beijing Film Industry Co., Ltd. planned to cooperate with a party to shoot.


Representative Mandates in Investment, Production, and Screenplay Writing

  • As an investor in the film "Little Love" (2019), which was released in the Chinese mainland, Mr. Zhang has participated in the entire process from planning, project approval, and filming to the promotion and box office revenue sharing, etc., not only as a legal advisor. As a joint screenwriter for legal dramas in Hong Kong and the mainland, he has participated in the entire scriptwriting and project planning process, including designing the legal scenarios for the legal personnel (main characters) and assisting in experiencing the courtroom and law firm life in the mainland.
