In healthcare and life science, Ms. Zuo has provided dozens of pharmaceutical companies with retainer service, compliance consulting, compliance system construction, compliance training, etc. Her client base encompasses businesses and organizations operating in production and sales of pharmaceuticals, medical devices, health-care products, contract sales, pharmaceuticals R&D, internet medical care. Ms. Zuo's services span the full lifecycle of pharmaceuticals and medical devices, including R&D, clinical trials, human genetic related approval, product launch, product marketing and promotion, and product liability disputes, among others.

Ms. Zuo is good at comprehensive compliance diagnosis and analysis of corporate business models, namely, providing compliance suggestions and improvement plans, researching and identifying corporate compliance weaknesses, helping companies build, improve, and perfecting compliance systems, as well as assisting companies in dealing with external administrative and criminal investigation cases, such as commercial bribery related cases, to help enterprises navigate smoothly through crisis.

In dispute resolution, Ms. Zuo has participated in many litigation and arbitration cases involving multinational companies and listed companies. Her track record covers equity transfer disputes, disputes over control rights, various types of contract disputes, product liability disputes, and anti-unfair competition disputes. She specializes particularly in handling various types of commercial contract disputes involving pharmaceutical companies, including disputes relating to distribution agreements, promotion service agreements, R&D cooperation agreements, as well as product (pharmaceuticals or medical devices) liability disputes and SAE disputes during clinical trials.

External Investigation

  • Assisted a multinational pharmaceutical company in responding to criminal investigation and litigation of commercial bribery

  • Assisted a multinational pharmaceutical company in responding to administrative investigation of commercial bribery

  • Assisted a multinational pharmaceutical company in responding to administrative investigation of false advertising

  • Assisted several pharmaceutical companies in responding to administrative investigations of advertising


Dispute Resolution

  • Represented the asset management plan of Cinda Securities to obtain the control of the listed company Zhongyida, and assisted the asset management plan in exercising shareholders rights, appointing new management, restoring governance of the listed company, clearing debts and liabilities, disposing of non-performing assets, promoting major asset restructuring, and resuming listing status

  • Represented Jiangxi Province Tourism Group Co. and Contemporary Group in their fight for control of the listed company China United Travel (600358.SH), and assisted the client to restore the governance of the listed company, resume its operation and management, control its subsidiaries/branches, and address its various corporate lawsuits

  • Represented Bitmain, a leading global blockchain chip design and device manufacturer once valued at CNY 80 billion, in disputes over company control, providing comprehensive legal services involving corporate governance, asset protection, supply chain management, intellectual property and trade secret protection, taxation, etc.

  • Represented Nomura Securities in disputes over a large syndicated involving a total amount of USD 190 million

  • Represented China United Travel in a dispute with Sun Guiyun over the transfer of equity interests

  • Represented Dentsu Aegis Network in an arbitration case to rescind an equity sale and purchase contract
