Zhong Lun lawyers Wei Zhou, Cindy Guo and Zhuo Wang made to China Business Law Journal’s 2022 edition of Rising Stars unveiled on March 18, 2022.
Ms. Wei Zhou specializes in litigation and arbitration, compliance and anti-corruption and China’s mainland capital markets, with a remarkably strong record in securities compliance, securities litigation and corporate litigation. Ms. Zhou has provided full legal services in securities compliance and litigation to nearly 100 listed companies, fund companies and other capital market entities, covering various types of securities violations, such as illegal information disclosure, insider trading, market manipulation and rat trading. She has represented dozens of listed companies, securities companies and their executives in dealing with investors’ claims for compensation in civil litigation involving alleged securities misrepresentation. A number of cases Mrs. Zhou handled has made to the lists of "China's Top Ten Influential Litigations" and "People's Court Top Ten Commercial Cases". She has developed her expertise in corporate disputes in capital market by representing scores of listed companies in intricate cases concerning disputes over control rights and M&A disputes.
Ms. Cindy Guo mainly practices in private equity and investment funds, M&A and corporate governance and tax and wealth management and has accumulated a wealth of experience in emerging industries, such as high-end manufacturing, biomedicine and new energy vehicles. She has provided legal services for corporate operations and transactions of many large multinational corporations at home and abroad, including 3M, a Fortune 500 company, where she was dispatched as legal counsel for its medical and automotive business. She has advised a bevy of private equity funds, investment banks, family offices and other financial institutions on equity investment and financing. Ms. Guo’s notable work also includes devising structures of employee stock incentive plans for a raft of companies and assisting Chinese clients in cross-border transactions involving the United States, the United Kingdom, Sweden, South Korea, Japan, Vietnam and other countries.
Ms. Zhuo Wang focuses on China’s mainland capital markets, M&A and corporate governance and private equity and investment funds, and has provided legal services to numerous state-owned enterprises, foreign-funded companies and private businesses in the industries of environmental protection, real estate, manufacturing, consumer goods, infrastructure construction, pharmaceuticals, new energy, power generation, military supplies, fruit supply chain, hospitality, etc. Ms. Wang provides scheme design and full legal services to acquirers or acquirees in acquisitions and anti-takeovers of listed companies. She also helped design practical legal, commercial and taxation schemes for clients in large-scale M&As and restructurings and assisted a host of companies in multiple rounds of fundraising and in their implementation of employee stock ownership plans. Ms. Wang’s legal services in capital markets have also benefited many listed companies and IPO aspirants.
