Zhong Lun Advises SOHO China on Acquisition of Subway Line 10 Sichuan North Road Station Land Project
On May 31, 2011, SOHO China Limited (SOHO China) entered into an agreement to acquire a land project at Sichuan North Road Station of Subway Line 10, Hongkou District, Shanghai, China, at the price of RMB 1.5 billion.
The project is the fourth acquisition of SOHO China in Shanghai this year as well as the eighth acquisition within two years since SOHO China’s entry into Shanghai. Since its entry into the Shanghai market in 2009, SOHO China has quickly established its presence in seven central business districts including Nanjing West Road, the Bund, Hongqiao Transportation Hub, Huaihai Middle Road, Changshou Road, Sichuan North Road and Xujiahui, the total acquisition amount of which exceeded RMB 17 billion.
In this acquisition, lawyers from Zhong Lun Law Frim’s Beijing Office, Shanghai Office and Hong Kong Office teamed up and acted as the outside counsel. Zhong Lun Shanghai Office senior partner Zhou Yun and Zhong Lun Beijing Office partner Hao Han led the team consisting of associates Zhou Yang, Wen Na, Wang Minghui, Zhou Zhehao, Wang Yue, and Roy Chiang. The team provided legal services for SOHO China in all respects from deal structuring, onshore and offshore due diligence, documentation, and negotiations. With regard to the fairly complex debt and equity transfer, the three offices utilized their respective strengths and provided a number of practical and professional advices. The efficient and seamless work of the three offices secured the successful completion of the acquisition in a short time period.
