Zhong Lun advises on Assets and Business Acquisition Project by Bosch (China) Investment Co., Ltd. from Ningbo Polaris Technology Co., Ltd.
Recently, Bosch has completed its integration and acquisition of the high quality assets and business of Ningbo Polaris Technology Co., Ltd. To allocate the high quality assets and in consideration of the capital premium, the parties firstly established a new company and consummated the transaction through capital increase and share transfer, and Bosch acquired 60% equity interests in the new company.
Upon the consummation of this project, Bosch will further its development in the electric travel technology products series, ranging its products from drive system of e-bike to hybrid power and powertrain system of electric vehicle. The establishment of the joint venture company by Bosch and Polaris also remarks the milestone for Bosch as its entry into the global e-bike motor market and Polaris, in turn, has found a good partner in the global auto industry, and will access to and have the chance to master the advanced technology of relevant industry.
The Zhong Lun team, led by Shirley Lu (partner) and also composed of Will Lu and Andy Li (associates) from Shanghai Office, acted as legal counsel for Polaris and provided full-range legal services.
