Recently, Zhong Lun successfully supported a multinational company in restaurant and catering industry and a high-tech company to obtain the unconditional clearance from PRC anti-trust authority, SAMR, for their joint venture project. Notably, this transaction is the first case involving VIE structure that has obtained the unconditional clearance from PRC anti-trust authority, and marks a milestone for the merger filing of its kind in future.
Zhong Lun advised on every aspects of the merger filing for this transactions, including making the filing assessment at early stage of the transaction, formulating proper filing strategy and plan, preparing notification and supplementary submissions, representing the parties in discussing with SAMR for dozens of rounds. The acceptance of and unconditional clearance for this transaction once again demonstrates Zhong Lun’s extensive expertise and strong capability in handling novel and complex antitrust matters, and also shows SAMR’s efforts to support pandemic control and work/production resumption in catering industry.
