Mr. Scott Yu’s practice focuses on cross-border M&A transactions, anti-trust, FDI, and other corporate matters.
Mr. Yu has extensive experiences in advising clients across various industries and sectors on corporate law and competition law issues as well as general operation matters. He has over 16 years of experience working with leading Chinese mainland, Hong Kong, and US law firms and serving a wide array of clients ranging from start-ups to large multinationals, which enabled him to develop deep expertise and vast skillsets for navigating cultural nuances and effectively tailor his legal guidance to clients from varied backgrounds.
With a keen eye for clients’ legal and commercial needs, Mr. Yu’s exceptional ability to devise practical solutions within the legal framework, even under seemingly insurmountable circumstances, has earned him trust and admiration from clients. He has acted as lead counsel in many big-ticket acquisitions and joint venture projects, including several billion-dollar joint venture projects and acquisitions. His clients include leaders in their respective areas, such as Alstom, Areva, Cummins, Schneider Electrics, Warburg Pincus, and Microsoft. In recent years, he has advised on a number of large merger, privatization, and joint venture projects from anti-trust perspective and helped clients to optimize deal structures in the most advantageous way.

  • Advised Beiqi Foton Motor Co., Ltd. in its CNY 2.7 billion joint venture project with Cummins Inc. for diesel engine production, and its CNY 5.6 billion joint venture project with Daimler AG for truck business

  • Advised Alstom and its Chinese subsidiary Wuhan Boiler Company Limited in the latter’s restructuring plan

  • Advise Volkswagen Auto Finance on its day-to-day operation legal matters

  • Advised Cummins in a number of acquisition transactions and daily operation related legal issues

  • Advised Warburg Pincus in its series of M&A transactions

  • Advised Qualcomm in the regulatory investigation by Chinese National Development and Reform Commission on Qualcomm’s China-based business

  • Advised JD.com on antitrust matters in its business cooperation with Tencent

  • Advised Focus Media on antitrust matters in its privatization from Nasdaq

  • Advised a major US software company with respect to the regulatory investigation on its Chinese operations

  • Conducted merger filing for Cummins, Schneider Electric, Alstom, Minmetal, Baosteel, and Dongfeng Motors in a number of transactions in China

  • Advised a major European commercial vehicle company on PRC antitrust compliance legal issues in its localization of standard transaction documents
