Zhong Lun Assists GAC Honda in Acquiring DHEC
Recently, GAC Honda Automobile Co., Ltd. ("GAC Honda") successfully completed the equity restructuring of Dongfeng Honda Engine Co., Ltd. ("DHEC"). In this project, GAC Honda secured 100% shareholding in DHEC through equity transfer and accepting equity investment from Honda Group. Subsequently, DHEC was renamed GAC Honda Engine Co., Ltd.
GAC Honda Automobile Co., Ltd., founded on July 1, 1998, is a Sino-foreign joint venture jointly invested by Guangzhou Automobile Group Co., Ltd., Honda Motor Co., Ltd., and Honda Motor (China) Investment Co., Ltd. Headquartered in Guangzhou, the company owns multiple production bases including Huangpu and Zengcheng. It offers a diverse product range, covering sedans, SUVs, MPVs, and other models, and is renowned for its advanced technology, reliable quality, and excellent service.
DHEC (now renamed as GAC Honda Engine Co., Ltd.) was established on May 26, 1998, jointly invested by Dongfeng Motor Group and Honda Motor Co., Ltd., specializing in the manufacturing of automotive engines and related components. Its products were widely used in passenger vehicle models such as GAC Honda's Accord and Odyssey.
As the legal advisor to Honda Group, Zhong Lun Law Firm provided professional legal services throughout the project, including but not limited to assistance with the review and revision of transaction documents and internal decision-making documents as well as legal advice on transaction structure. The project was led by equity partner Heng Ding, with team members including Xiaoyu Liu and Wenjun Lu, among others.
The successful completion of this project holds great significance. It will streamline the integrated operation of GAC Honda in the engine sector, enhance the resilience and independence of its supply chain, boost management efficiency, reduce operational costs, and optimize business performance, ultimately empowering the company's transformation towards intelligentization and electrification.
