Alan XU

Mr. Xu is an international lawyer with nearly 20 years of experience in Hong Kong and Chinese mainland. As one of the very few lawyers who are qualified to practice laws in Chinese mainland, Hong Kong, and the State of New York, US, Mr. Xu has advised clients on hundreds of cross-border transactions, with his clients including Fortune 500 companies, leading global investment banks, mega-sized Chinese state-owned enterprises as well as public companies listed on stock exchanges in Chinese mainland and Hong Kong.
Mr. Xu joined Zhong Lun in 2016 as an equity partner. Prior to Zhong Lun, Mr. Xu had been a partner at the international firm Simmons & Simmons. Before that, he had worked for two other leading international law firms in Hong Kong. Mr. Xu clerked for The Honorable Mary McLaughlin of the U.S. District Court for the Eastern District of Pennsylvania after graduating from the University of Pennsylvania Law School.

M&A/Foreign Investment

  • Advised China Reinsurance Group on its CNY 5 billion strategic investment in China Great Wall Asset Management Co. Ltd.

  • Represented Arthur J. Gallagher & Co. in its establishment of a reinsurance brokerage joint venture with Jiangtai Insurance (the transaction was awarded as "Creative Transaction for 2014" by Financial Times)

  • Advised Telefónica on its USD 1 billion share swap with China Unicom and the establishment of a strategic alliance between them

  • Advised Hundsun Technologies Inc. (600570.SH) on its establishment of joint ventures with IHS Markit (NYSE: INFO) in Chinese mainland and Hong Kong for carrying out DCM information provision services

  • Advised Yintai on selling its shareholding in Intime Retail Group Co. to Alibaba Group

  • Advised Nord Anglia Education, a leading global operator of international schools, on its acquisition of schools in Beijing, Shenzhen, and Guangzhou

  • Advised Lianjia, China's largest property brokerage group, on its acquisition of a licensed financial institution in Hong Kong

  • Advised New World Holdings on its acquisition of toll roads and bridges in China with an aggregated transaction value of HKD 3.3 billion

  • Advised Topsun Group, a pharmaceutical company listed on the Shanghai Stock Exchange, on its disposal of western OTC cough and cold medicine business to Bayer Healthcare for CNY 1.1 billion

  • Advised an ASEAN based fund on its proposed USD 180 million acquisition of a residential property project from Shui On Properties

  • Advised UBS's infrastructure funds on the proposed acquisition of the Shanghai Outer Ring Highway

  • Advised the Government of Singapore Investment Corporation on its acquisition of three real property projects in China

  • Advised Mayor International on the disposal of its flexible packaging business in Hong Kong and Chinese mainland to Bemis

  • Advised China Resources Power Holding Co., Ltd., a Hong Kong listed company, on its HKD 1.2 billion acquisition of two power plants in China

  • Advised NGB on its acquisition of digital television terrestrial broadcasting operators in China

  • Advised the Government of Singapore Investment Corporation on increasing its investment in Taikang Life Insurance

  • Advised AEGON on the restructuring of its investment in China

  • Advised a NY listed company on the restructuring of its China business (the transaction was awarded the SME Turnaround Transaction for 2014 by ATTA)

  • Advised Deutsche Telekom on its provision of value-added telecommunications services in China

  • Advised Banco Santander on its investment in the automobile finance sector in China


Capital Markets

  • Advised Mitsubishi Corporation on its proposed privatization of an H-share company

  • Advised New World Holdings on its CNY 350 million subscription for new shares issued by Guangdong Baolihua New Energy, a power generating company listed on Shanghai Stock Exchange

  • Advised AllianceBernstein on its participation (as a Qualified Foreign Institutional Investor, or "QFII" ) in China's stock markets

  • Advised CITIC International Assets Management on the proposed privatization of a Chinese commercial enterprise listed on a U.S. stock exchange

  • Advised Haikou Meilan International Airport on its IPO and listing on the Hong Kong Stock Exchange

  • Advised Tianjin Capital Environmental Protection Co., Ltd., a PRC company listed in Hong Kong and Shanghai, in connection with its CNY 1.2 billion A-share convertible bond offering on  Shanghai Stock Exchange

  • Advised Offshore Oil Engineering Co., Ltd. on its CNY 800 million A-share initial public offering on Shanghai Stock Exchange


Banking and Finance

  • Advised a syndicate of banks on a facility financing to the major shareholder of Luoxin Pharmaceutical, a large pharmaceutical company listed on the Hong Kong Stock Exchange, for the privatization of Luoxin Pharmaceutical

  • Advised international banks including China Construction Bank and China Merchants Bank in relation to trade finance and cross-border supply chain finance

  • Advised international banks and multi-national corporations on financing arrangements in relation to their investments in various infrastructure projects, including real estate development projects and hydroelectric projects

  • Advised DBS Bank on a variety of wind farm project financing matters in China

  • Advised international banks in relation to debt finance and restructuring transactions, including buyouts, senior and mezzanine funding and integrated debt and equity financing structures


Compliance

  • Advised Goldman Sachs on anti-money laundering and outsourcing related issues in China

  • Advised Bayer Group on compliance issues relating to the promotion and distribution of pharmaceutical products in China

  • Advised L’Oréal on compliance and tax issues in China

  • Advised UBS on compliance issues relating to the protection of client data in China

  • Represented a New York listed company in the FCPA investigation of its joint ventures in China
