Michael ZHANG

Michael Zhang has specialized in international arbitration, cross-border dispute resolution, PRC domestic litigation & arbitration, compliance and construction matters. Michael has extensive experience in advising multinational and Chinese clients on the resolution and avoidance of complex and high value cross-border commercial disputes. He has appeared as counsel in international disputes under the auspices of international arbitral institutions (including the HKIAC, ICC, SIAC, CIETAC, LCIA and SCC). Michael also handles compliance/regulatory matters. He has conducted complex internal investigations for a large number of multinational companies across various industries. He has experience in dealing with PRC and foreign judiciary bodies and regulators. Michael also has a solid construction and engineering practice advising clients from start to finish of the project life-cycle.

Representative Matters

SELECTED LITIGATION / ARBITRATION CASES:

  • Represented a Middle-east Sovereign Investment Fund in various PRC court and arbitration proceedings in relation to complex investment disputes arising from multiple commercial agreements with its Chinese counterparts

  • Represented a European equipment manufacturer in a HKIAC arbitration commenced by its Hong Kong joint venture partner concerning the scope of their obligations under their joint venture agreement

  • Represented a foreign private equity in HKIAC arbitral proceedings under UNCITRAL rules in relation to complex cross-border investment disputes. The case involved complicate multi-jurisdiction legal issues

  • Represented a Korean company in various PRC court proceedings and a HKIAC arbitration in relation to complex investment disputes arising from multiple commercial agreements. Successfully obtained an assets preservation order from the Shanghai First Intermediate People’s Court under the Arrangement Concerning Mutual Assistance in Court-ordered Interim Measures in Aid of Arbitral Proceedings by the Courts of China’s Mainland and of the Hong Kong Special Administrative Region (“Arrangement"). This is the first order granted by the Shanghai First Intermediate People’s Court under the Arrangement

  • Represented an American design firm in a dispute for non-payment of design fees with a Chinese owner before CIETAC Hong Kong Arbitration Centre. This was the third case administered by CIETAC Hong Kong under its new arbitration rules. Enforced the award rendered in our client’s favour before a PRC court. This is the first enforcement case of a CIETAC Hong Kong award in Mainland China. This case is selected by the Supreme People’s Court as one of ten model cases in connection with Mainland-Hong Kong cross border arbitration and enforcement cases in 2020

  • Represented a Chinese SOE in connection with its dispute concerning a cooperation agreement governed by New South Wales law in an ICC arbitration. The seat of this arbitration is Hong Kong

  • Advised a PRC media company in connection with its dispute concerning termination of a license agreement with a well-known US media company. The license agreement is governed by California law and disputes are subject to HKIAC arbitration and JAMS arbitration (California)

  • Represented a well-known British commercial bank in connection with its dispute concerning a trading agreement governed by England and Wales law in an LCIA arbitration


SELECTED COMPLIANCE AND TRADE SANCTION DEALS:

  • Performed a two-year internal investigation for a US-listed Investment Bank related to FCPA violation and other issues

  • Performed a one-month internal investigation for a US-listed chemical company related to FCPA violation and other issues

  • Performed a half-year internal investigation for a US-listed energy company related to procurement policy violation and other issues

  • Provided compliance training on the key points of supply chain structuring and layout of the aerospace industry in China based on the U.S. export control regulations

  • Advised on the legal risks of the U.S. export control and Iran sanction may be involved in client’s proposed investment in Iran

  • Assisted in the communication with the U.S. BIS and other relevant authorities to be removed from the entity list soon

  • Advised on the operational risks of the U.S. sanction on Iran which may be involved in client’s auto product transaction
