Scott GUAN
Dr. Scott Guan possesses extensive experience in mergers and acquisitions, complex commercial dispute resolution, compliance, and general corporate advisory matters, including contracts, intellectual property, and business operations. Dr. Guan is recommended by Chambers Asia Pacific and The Legal 500, and has been consistently listed by The International Who's Who of Business Lawyers and other professional publications as one of China's leading business lawyers.
Dr. Guan's clientele spans a wide range of industries, including manufacturing, chemicals, technology, telecommunications, the Internet, online gaming, publishing, education, entertainment and sports, natural resources, energy, distribution and retail, construction, real estate, financial services, private equity, and professional services. His representative work includes advising Fortune 500 companies on share and asset acquisitions of both state-owned and private enterprises in China; assisting multinational corporations in establishing Chinese holding companies and conducting subsequent internal restructurings; advising venture capital and private equity firms on investment projects; drafting and negotiating complex commercial contracts and transaction documents; supporting foreign investors in establishing and operating businesses in China; and advising Chinese enterprises on outbound investments, structuring, and tax planning.
Dr. Guan also has substantial experience in resolving complex international disputes through arbitration, litigation, mediation, and negotiation. He has handled disputes arising from sophisticated commercial contracts, share and asset purchase agreements, joint venture contracts, intellectual property licenses, and technology transfer agreements. In addition, Dr. Guan regularly provides advice on corporate governance, white-collar crime, and internal compliance investigations.
Before joining Zhong Lun, Dr. Guan practiced with leading Chinese, Canadian, and British law firms in Shanghai, Toronto, and Hong Kong. In addition to his legal practice, he frequently lectures and publishes on commercial law topics, and is the author of two books and multiple articles on business law and related subjects.
