Yangjie ZHOU

Ms. Yangjie Zhou has extensive experience in corporate compliance and internal investigations, commercial litigation and arbitration, as well as investment, M&A and corporate governance. She has advised numerous large multinationals, central-government SOEs, local state-owned enterprises and private companies.

In the compliance field, Ms. Zhou helps clients build compliance program, conduct internal investigations, cooperate with and respond to inquiries from government authorities or regulators, handle investigations and sanctions by multilateral development banks and the related remediation work, and deliver compliance training.

In commercial litigation and arbitration, she represents clients in complex and high-stakes disputes involving shareholder claims, product-liability issues and guarantee obligations. These matters cover domestic court proceedings and arbitrations as well as offshore arbitrations. She also assists clients with cross-border evidence collection, data transfer and disclosure requirements, and provides Chinese-law perspectives on jurisdiction, governing law, and the recognition and enforcement of foreign judgments and arbitral awards.

For investment, M&A and corporate governance, Ms. Zhou focuses on assisting foreign companies or foreign-invested enterprises in China with domestic equity investments, mergers and corporate governance matters.

Ms. Zhou received her LL.B. from Fudan University Law School and holds MBA degrees from the PBC School of Finance of Tsinghua University and Cornell University. Combining legal, business and finance expertise, she is qualified to practise law in China and has passed the California Bar Examination (she is not practicing in the United States). She is familiar with both Chinese and foreign legal systems and practices and works fluently in Chinese and English.

Representative Matters

Compliance

  • Designed and built an overseas compliance framework for China Baowu Steel Group Corporation Limited, drafting Overseas Compliance Management Measures, an Overseas Compliance Handbook, and standalone guidance modules on antitrust, senior-executive criminal exposure, data protection, and trade & sanctions.

  • Advised several international engineering companies under investigation or sanction by the Asian Development Bank, World Bank, African Development Bank, European Bank for Reconstruction and Development and European Investment Bank; led remediation programmes that satisfied each institution's integrity-compliance requirements.

  • Developed anti-corruption, anti-bribery and anti-fraud compliance programmes for Dongming Petrochemical, Lunan Pharmaceutical and other clients.


Litigation & Arbitration

  • Represents SanDisk in litigation against Shanghai Zizhu High-Tech Park.

  • Successfully overturned, at second instance, a "piercing the corporate veil" suit brought by creditors against a high-net-worth individual who was the sole shareholder and legal representative of the defendant company.

  • Acted for an investor in an arbitration against a pre-IPO medical-device company, deploying alternative prayers for relief to secure either share-repurchase performance or damages for the target's failure to complete financing on schedule.

  • Defends a manufacturer in a series of claims arising from the worldwide recall of downstream home appliances sold overseas due to alleged product defects.

  • Sued an upstream cosmetics supplier on behalf of a distributor, resolving post-termination issues relating to outstanding payments and residual inventory.

  • Enforced full payment of contract price and late-payment interest for a client in a bulk-mineral-commodity sale dispute.
