Zhende Medical (Stock Code: 603301), an A-share listed company, has recently acquired 100% equity interest in Shanghai ISO Medical Products Co., Ltd. (“Shanghai ISO") and 100% equity interest in Sentry (Nantong) Medical Products Co., Ltd. (“Sentry") through its wholly-owned subsidiary, Xuchang Zhende Medical Dressings Co., Ltd. with a total consideration of more than RMB510 million in cash.
Shanghai ISO is mainly engaged in the manufacturing, R&D and sale of induction control and protection for central vein indwelling and wound care solutions (modern wound care products). Sentry mainly provides Shanghai ISO with ancillary manufacturing and sterilization services for certain products.
Zhong Lun Law Firm acted for the two Hong Kong sellers on this project and provided comprehensive legal services, including preparing and reviewing transaction documents, participating in negotiations and assisting with transation closing.
