Zhong Lun Represents Guoxin Venture Capital in the Going-Private Transaction of Cloopen Group
Zhong Lun represented Guoxin Venture Capital Management (Shenzhen) Co., Ltd. through its managed investment vehicle Novo Investment HK Limited, in the going-private transaction of Cloopen Group Holding Limited (OTC: RAASY), a leading multi-capability cloud-based communications solution provider in China.
The buyer group also consists of Mr. Changxun Sun, Cloopen’s founder and chief executive officer, Trustbridge Partners, Dmall Inc. (2586.HK), and other investors. If completed, the transaction will result in Cloopen becoming a privately owned company. The transaction is currently expected to close in the fourth quarter of 2026, subject to customary closing conditions, including approval by the shareholders of the Company.
The Zhong Lun team was led by partner Gary Li and non-equity partner Min Lu, with support from partner Kejun Guo and non-equity partner Wei Ding.
